UppTalk is a communication service that allows you to communicate for free with your contacts. In order to use the service, you have to install the UppTalk application in your device. The service consists on the possibility to chat and call your contacts by instant messaging, SMS and voice. Should you subscribe also to the UppTalk numbering option a phone number will be assigned to you (numbering service might not be available in your country and/or may be provided by a third party). What you need to know about the UppTalk service before use:

a) No access to emergency services: UppTalk does not replace your mobile and / or fix phone service so you should have one of those services to ensure proper calls to emergency numbers if necessary.

b) Traditional telecommunications services: You need to have a pre-existent subscription with your telecom (fix or mobile) provider to use UppTalk. The UppTalk service is not a substitute of your telecom service providers such as mobile operators. Specifically, UppTalk number, if available, cannot be used as main phone line.

c) No access to premium rate services or special numbers: Please use your pre-existent subscription with your telecom provider to reach those services.

d) Jurisdiction: In some countries there are laws that may prohibit, limit or restrict the use of services such as UppTalk due to age limits, bans or regulations. If this is your case please do not use UppTalk.

1. Scope of the General Terms and Conditions of Use, Amendments

1.1. yuilop Communications I Limited and Two Worlds Collide Communications, LLC. (together “UppTalk”) provides their services (“Service”) subject to the following General Terms and Conditions of Use (“T&C”), which you accept and agree through registering for the Service. yuilop Communications I Limited provides you with the messaging and callings service to other UppTalk’s users and outgoing calls to non-UppTalk users and Tow Worlds Collide Communications, LLC provides you with the numbering and incoming messaging and calls to the UppTalk number. Application of deviating terms and conditions is excluded, even if UppTalk does not explicitly reject. These T&C can be read and called up at any time from http://yuilop.com/usa/terms-and-conditions-service/ or in the specific section within the application.

1.2 Amendments to these T&C will be made subject to observance of the statutory regulations and will be announced at http://yuilop.com/usa/terms-and-conditions-service/ or through the application.

1.3 We offer you the Service exclusively as final user, therefore the reselling or commercialization of the Service is strictly prohibited so is the assignment of this contract.

1.4 The Service is not suitable for children below 13 years neither for legal entities and therefore cannot subscribe to the Service. If you are under 18 years old, your parent or legal guardian must also read and agree to be bound by these T&Cs. If you belong to any of these groups you may not use the Service.

2. UppTalk Application (“App”) / Service

2.1 Through UppTalk App, UppTalk offers you a platform for web based and mobile communication within the yuilop Community, e.g. with other UppTalk users, as well as to external connections via chats, short messaging (“SMS”), via voice telephony and/or video telephony. Some features of the App may not be available at the time you install it.

In general UppTalk does not charge you any fee for use of its Service. This does not apply for any costs charged by your mobile telephone provider or ISP for data transfer. Please check with your mobile operator or ISP what is your data plan before using the UppTalk Service.

UppTalk can only ensure the free service through revenues from the dissemination of advertising material. Use of the UppTalk service therefore presupposes that you consent to receipt of advertising information. The scope of the free use of the UppTalk service is determined on the one hand by the scope of the advertising addressed to you and, on the other hand, by your conduct of the individual user and of all users of the UppTalk service (“yuilop Community”). In this respect, you consent exclusively to the sending of advertising information through the App as this is an essential condition for UppTalk to provide you with the Service; there is no obligation on your side to purchase or to conclude transactions with advertising partners of UppTalk.

2.2 The UppTalk service provides you with advertising information in the form of banners in the App (“pull advertising”) as well as via text or multi-media messages and/or e-mail (“push advertising”). Push-advertising measures presuppose that you have issued corresponding consent by checking the opt-in in the correspondent section within the App. There, you can determine the scope of the advertising information sent as well as the form of technical transmission (e.g. text or multi-media message or e-mail).

2.3 The UppTalk service is not a substitute for telecommunications services. In particular, emergency telephone numbers cannot be reached via the UppTalk service. UppTalk can also restrict use of service and/or special telephone numbers within the scope of the UppTalk service. Such numbers may include without limitation Law Enforcement Agencies, medical care, ambulance or any other emergency number; consequently you may not use the Service for this purpose. You are responsible to acquire or subscribe to a fix or mobile service suitable that offers calls to emergency numbers. UppTalk IS NOT A SUBSTITUTE FOR YOUR FIX OR MOBILE MAIN SERVICES.

If you attempt to make a 911 call from the mobile application in the United States the mobile application will close and the call will be placed over your cellular carrier’s network (except from the web UppTalk application). However, this does not prevent you from using your phone for making emergency calls via your cellular provider as normal. If you dial internationally recognized emergency service numbers while using a mobile application, the mobile application will close, the native dialler will be launched, and the call will be placed over your carrier’s cellular network.

2.4 As long as you have “virtual credit” you will be able to send SMS and perform calls. Virtual credit can be re-gain by subscription to UppTalk’ partner advertiser campaign, using the Service itself or by other means that UppTalk may implement in the future.

Conversion rate between virtual credit vs. voice minutes and SMS you gain and spend using the Service, may vary over the time depending on any suitable factor or factors; for example, the cost can depend on the size of the communication, the type of communication, the amount of the discount (if applicable), the sender, the intended recipient, the carrier, the country, the duration or length of the communication and/or any other suitable factor or factors.

In case of inactivity –not sending of any instant message, SMS and/or not performing any calls of any kind- during a continuous period of 30 days or more will imply the lost of your virtual credit.

2.5 Responsibility for the advertising information lies exclusively with the respective UppTalk advertising partner. UppTalk shall provide exclusively the technical transmission of the advertising information. In particular, the transmission of the advertising information shall not constitute any recommendation, guarantee or similar concerning the products and/or services offered by the advertising partner. The advertising partner bears sole responsibility for the correctness, up-to-date status and completeness of the advertising and product information, and for ensuring that the quality of the products and/or services advertised corresponds to the advertising or product information provided.

2.6 In the event you decide to procure products and/or services from a UppTalk advertising partner, a contract shall be established exclusively between you and the UppTalk advertising partner; UppTalk shall not become a party to any such contract. UppTalk draws explicit attention to the fact that the contracts with its advertising partners shall be subject to the partners’ terms and conditions of contract and, if applicable, to their general terms and conditions of business. UppTalk has no influence over the general terms and conditions of business of the advertising partners and likewise does not act as their representative, agent or distributor.

2.7 The UppTalk service is dependent entirely on advance performances by third parties, over which UppTalk has no technical influence. An advance performance for the purpose of the above is, in particular but without limitation, the provision of the communication services by telecommunications providers (mobile operators, ISPs or others). Consequently, UppTalk cannot exclude temporary restrictions or interruptions of the UppTalk service in the event of capacity bottlenecks in the provider networks as well as in the event of faults and/or maintenance work and/or work on technical alterations to the providers’ systems. In so far as possible, UppTalk shall inform you if it becomes aware of any non-availability of the UppTalk service and shall require the network operators to rectify faults immediately. IMPORTANT INFORMATION: If your Broadband Connection fails, your voice service will also fail. Your service may cease to function if there is a power cut or failure. These failures may be caused by reasons outside our control.

2.8 UppTalk is entitled to restrict, limit, suspend, intervene and / or interrupt the Service for maintenance purposes or to improve, repair or update the Service. UppTalk will make its best efforts to notify you and likewise try to mitigate the inconveniences you may suffer, You have no entitlement to permanent availability of the UppTalk service. UppTalk is entitled to restrict and/or discontinue the service, in part or in full, at any time.

2.9 You may be provided with a UppTalk phone number to be used by you in connection with UppTalk app. UppTalk numbers are owned by us (or our suppliers) and may be reclaimed by us should your UppTalk account be terminated for any reason, and for free, due to non-activity as further describe in 5.3 and may otherwise discontinue phone number availability and reclaim phone numbers at any time without liability to the user. UppTalk numbers are not retained and may not be transferred. UppTalk may limit the assignment of one phone number per user.

2.10 There are no special measures for end users with disabilities

3. Use of the UppTalk service

3.1 Use of the UppTalk service is only possible via your pre-existent telephone number allocated to you by your mobile operator. Such number will be use as your id in our systems and cannot be changed. You cannot assign the services to third parties. However if you subscribe to the UppTalk numbering service a UppTalk number will also allocated to you (subject to availability of numbering service).

3.2 The UppTalk service does not grant you any entitlement to the use of a specific contingent of free SMS and/or free minutes. Accordingly, you are not entitled to compensation from UppTalk in the event of termination of the UppTalk service by any cause or of withdrawal of the telephone number assigned to you for use of the UppTalk service.

4. Your duties

4.1 You will use the UppTalk service exclusively for private purposes. You are prohibited in particular from integrating the UppTalk service fully or partially into own or other offers, or from using the UppTalk service commercially for own or third party purposes.

4.2 You undertake furthermore to refrain from any abuse of the UppTalk service. In particular but without limitation, you undertake to refrain from

a) circumventing UppTalk security precautions and/or

b) using facilities or performing applications which result or could result in damage and/or functional failure of the UppTalk service, and/or

c) using the UppTalk service for the use of diallers, PIN calls, spamming and/or the provision of added-value or premium services and/ or

d) using the UppTalk service in an abusive way; such usage is especially reached as soon as you increase a volume of 1000 Min/SMS per week and/or

e) using the Service above the common practice and / or above a fair usage or against good morals and/or

f) Committing fraud or using the Service in a way that it might be reasonable to consider so as a sign of fraud.

g) use the Service to upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation, except in those areas that are designated for such purpose.

In case of abuse according to art. 4.1 or 4.2 or 4.3 of these T&C, UppTalk is entitled to reduce the usage or to exclude you from further usage of the UppTalk service and / or even terminate this contract.

4.3 Finally, you undertake not to make unlawful use of the UppTalk service and, in particular, to ensure that the contents of his communication do not violate applicable law, statutory and official prohibitions or good morals or any third party rights. You guarantee in particular that you will not disseminate any discriminating and/or pornographic and/or extremist content within the scope of the UppTalk service.

4.4 In the event of claims by third parties against UppTalk as a result of violation of your obligations, in particular as a result of unlawful, illegal or fraudulent use of the UppTalk service or against these T&C, you undertake to indemnify UppTalk against these claims at the first request. The indemnification also includes any costs of legal pursuit incurred by UppTalk as a result.

5. Utilisation period, ending of use

5.1 You can use the UppTalk Service for an indefinite period. You are entitled to end the use at any time without adhering to a period of notice.

5.2 The right of either party to immediate termination for important cause shall remain unaffected. An important cause shall be given for UppTalk in particular if

a) you make unlawful use of the UppTalk service, in particular use in contravention of legal provisions, other legal regulations or in violation of good morals, in the event of a strong suspicion of such, or due to an infringement of point 4.2 and/or in general you do not comply with any provision of these T&C.

b) you use the UppTalk service for purposes other than private purposes.

c) UppTalk license if applicable is revoke

d) the business of UppTalk is discontinued, it is not profitable or UppTalk is in bankruptcy procedures.

In case of termination you will lose your virtual credit with no possibility of reimbursement.

5.3 UppTalk may withdraw the UppTalk number assigned to user after 4 weeks without activity. UppTalk will notify the user in text form before withdrawing the telephone number. The notification will take the form of a short message (SMS) to the mobile telephone number provided to the user by UppTalk, or to the mobile telephone number indicated by the customer for identification purposesUppTalk reserves the right to assign the number to other user after withdrawal. User may use the UppTalk app afterwards limited to the services that not requiring numbering to run (web saved services and IP)

6. Disclaimers of Warranties and Limitations on Our Liability

WE TRY TO KEEP UppTalk UP, BUG-FREE, AND SAFE, BUT YOU USE UppTalk AT YOUR OWN RISK. UppTalk IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO UppTalk (INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE AND NON-INFRINGEMENT).

WE MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF CONTENT AVAILABLE ON OR THROUGH UppTalk, OR THE CONTENT OF ANY WEBSITES OR RESOURCES LINKED TO OR FROM UppTalk. WE WILL HAVE NO LIABILITY FOR ANY: (A) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (B) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO OR USE OF UppTalk; (C) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR OF ANY PERSONAL OR FINANCIAL INFORMATION; (D) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM UppTalk; (E) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED ON OR THROUGH UppTalk BY ANY THIRD PARTY; OR (F) ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, E-MAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE ON OR THROUGH UppTalk.

WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY ON OR THROUGH UppTalk OR ANY LINKED WEBSITE. WE WILL NOT BE A PARTY TO OR BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD PARTY PROVIDERS OF PRODUCTS OR SERVICES.

YOU UNDERSTAND AND AGREE THAT ANY MATERIAL OR INFORMATION DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF UppTalk IS DONE AT YOUR OWN RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE ARISING FROM DOING SO. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH UppTalk WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE IN THESE TERMS OF USE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE, AND OUR OFFICERS, EMPLOYEES, DIRECTORS, SHAREHOLDERS, PARENTS, SUBSIDIARIES, AFFILIATES, AGENTS, AND LICENSORS WILL NOT BE LIABLE UNDER ANY THEORY OF LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, DAMAGES FOR LOSS OF REVENUES, PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF SUCH PARTIES WERE ADVISED OF, KNEW OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES), ARISING FROM OR RELATING TO THE USE OF UppTalk.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations and disclaimers may not apply to you. To the extent we may not, as a matter of applicable law, disclaim any implied warranty or limit its liabilities, the scope and duration of such warranty and the extent of our liability will be the minimum permitted under such law.

Indemnification

You agree to indemnify, defend, and hold harmless us, and our parents, subsidiaries, affiliates, officers, directors, employees, consultants, and agents, from and against any and all claims, liabilities, damages, losses, costs, expenses, fees of any kind (including reasonable attorneys’ fees and legal costs), arising from or relating to: (a) any information (including your Submissions, messages, feedback, or any other content) you or anyone using your account or device submit, post, or transmit using UppTalk; (b) the use of UppTalk by you or anyone using your account or device; (c) the violation of these Terms of Use by you or anyone using your account or device; or (d) the violation of any rights of any third party, including intellectual property, privacy, publicity or other proprietary rights by you or anyone using your account or device. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

Force Majeure

Under no circumstances will we be held liable for any delay or failure in performance due in whole or in part to any acts of nature or other causes beyond its reasonable control.

7. Protected privileges, data protection

7.1 All brands, industrial property rights and/or logos of UppTalk and/or the UppTalk advertising partners, shown within the scope of the UppTalk service, are the property of the respective entitled party, even if they are not marked with corresponding protection references (i.e. Ò). Reproduction and/or other use of these brands, protected privileges and/or logos are not permitted without the consent of the respective entitled party.

7.2 Protection of user data and your privacy is of particular importance to UppTalk. As such, the rulings on data protection at UppTalk shall apply in extension; you likewise accept their application. See more about in our privacy policy.

8. – UppTalk Paid Services

yuilop S.L. or any of its subsidiaries as the case may be offers two payment options:

- Ad-free subscription to UppTalk

- Paid top-ups of Virtual Credits (allowing you to make calls and SMS out of the yuilop Community) remember that alternatively you can gain Virtual Credits for free by participating in the activities as described in point 2.4 of our terms and conditions.

Please take into account that we are currently rolling out the payment service so this feature might be not available for your device OS or in your country.

8.1 If you wish to use UppTalk Paid Services, you must agree to all the terms of this Section. All the other provisions of this Agreement also apply to UppTalk Paid Services.

8.2 Payments will be made exclusively in the manner(s) indicated by UppTalk from time to time, including through service providers separate from UppTalk. You need to agree to any specific terms presented at the moment of making a payment, including without limitation provisions relating to processing of personal data by that service provider which may differ from UppTalk’s policies and for which UppTalk is not responsible.

8.3 Please think twice before purchasing: all purchases are final and no refunds are available for payments made for UppTalk Paid Services that are made through third parties’ platforms. In the event that you believe you have been charged in error, you must contact UppTalk support within 14 days of such charge and submit evidence that you’ve been charged by error otherwise we have to rely on the information of our system and assume the purchase was righty and consciously performed. No refunds will be given for charges, which are more than 14 days old. If you have not used your credit for 180 days then it will automatically expire and you will lose it. UppTalk will try to send you a reminder before it expires. If your User Account expires or is terminated you will also lose any remaining credit in your User Account. Note that certain special promotions may be subject to shorter expiry dates within which you would need to use the relevant credit, so please read the applicable terms carefully at the time of purchase.

8.4 Charges for UppTalk Paid Services are subject to change. For UppTalkOut the applicable rates are those in effect at the time of using the service. Please always check the up to date charges at http://yuilop.com/rates/. Unless otherwise specified, rates include VAT, Calls are normally charged in thirty-seconds increments and will be rounded up to the nearest Euro cent or Dollar cent (or other applicable currency unit), except as set out on the current rates page from time to time.

8.5 If you encounter any problems related to payment, pricing or use of UppTalk Paid Services, please contact support@yuilop.com. Be aware that UppTalk does not provide support in all languages and English is the language generally used.

8.6 If the law of your country or location prohibits you from using the UppTalk Paid Services whether due to age restrictions, content laws or other legal restrictions, you must not use the UppTalk Paid Services and any payments that you make will not be refunded.

9. Concluding provisions

9.1 Should a provision of these T&C be or become invalid or inoperable, either in part or in full, the validity of the other provisions shall remain unaffected.

9.2 These Terms of Use will be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any conflict of laws rules or provisions. You agree that any action at law or in equity arising from or relating to UppTalk or these T&C will be filed only in the state or federal courts of Delaware and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of any such action.

911 Service — United States and Canada Top

There are important differences in the way 911 service operates with the UppTalk app when compared with traditional telephone service:

Differences between traditional 911 service and dialing 9-1-1 via the UppTalk app
With traditional phone services, your 911 call is sent directly to the nearest emergency response centre. With UppTalk, your 911 call is forwarded to a third-party operator who will route your call to the appropriate emergency response centre (anywhere in the country).

Remember to verify your location
Because you can move your device with the UppTalk app installed between locations and the emergency operator will not have your name, location or contact information available, you must immediately inform the emergency operator of your location and contact particulars any time you call 911. Do not risk sending emergency services to the wrong location.

Be prepared during any service interruption
UppTalk calling service depends not only on your continued use of the app, but also on Internet connectivity and power to function. In the event of power, network, or Internet outages (including congestion), or if your service is suspended due to non-usage, you may experience a failure, disruption or delay in your 911 service. We recommend that you keep an alternative phone service (such as a cellular telephone) handy to increase the reliability of your access to emergency services during any service interruption.

Do not disconnect
Until you are told to do so by an emergency dispatcher, do not disconnect your 911 call. If you are inadvertently disconnected, call back immediately.

Inform other users
You must notify members of your household and other potential users of your UppTalk service of the nature and limitations of 911 emergency calls.

Limitations of Liability
UppTalk limits our liability to you in respect of our 911 service, as we do not have any control over whether, or the manner in which, calls using our 911 service are answered or addressed by any local emergency response centre. We rely on third parties to assist in routing 911 calls to local emergency response centers and third party call centers. Prior to registering for UppTalk service, you must review the full text of applicable limitations of liability set out in the Terms of Service available at http://www.yuilop.com/legal

Fair use — United States Top

At UppTalk, we want our users in the U.S. to communicate for free and without limitations, and with the best possible conditions, whenever possible. The Fair Usage Policy (“FUP”) is designed to prevent potential fraud and abuse of our service by a small number of users. The application of this FUP does not imply any limitation on unlimited free calls and SMS in the U.S. as long as your behavior using UppTalk complies with this FUP.

Subject to this FUP are UppTalk’s free and unlimited national calls & SMS in the U.S. (excluding special, premium, service and non-geographic numbers). All calls will be disconnected and require a re-dial after a 20 minutes duration. UppTalk’s free and unlimited national calls & SMS in the U.S. are for personal individual use only in accordance with our Terms of Use and this FUP (“Legitimate Use”). The following is a non-exhaustive list of practices that would not be considered Legitimate Use:

  • Using this program for telemarketing or call center operations;
  • Re-selling minutes or SMS;
  • Sharing the program between users whether via a PBX, call center, computer or any other means;
  • Calling or send SMS to numbers (whether singly, sequentially or automatically) to generate income for yourself or others as a result of placing the call, other than for your individual business communications (and subject to Section 4.2 of the Terms of Use); and
  • Unusual calling or sending/reception of SMS patterns inconsistent with normal, individual subscription use, for example, regular calls of short duration or calls to multiple numbers in a short period of time or abnormal sending and reception of SMS.

Other practices may be relevant in determining Legitimate Use and UppTalk reserves the right to take any unlawful, prohibited, abnormal or unusual activity into account in making its determination. UppTalk may at its option, terminate its relationship with you, or may suspend your subscription immediately if it determines you are using your subscription contrary to this FUP or UppTalk’s Terms of Use. Where reasonable, UppTalk will provide you with notice of improper usage before suspension or termination of your subscription.

UppTalk’s free and unlimited national calls & SMS in the U.S. program was initiated without an end date. UppTalk reserves the right to terminate or revoke this program at any time. Remember that UppTalk will not charge you even in case of termination of this program (UppTalk would only re-enable its virtual credit system -no cash needed- to make calls and SMS)

UppTalk reserves the right to change this FUP at any time. Changes shall become effective when published on the UppTalk website. Your continued use of the free and unlimited national calls & SMS in the U.S after publication of the revised version shall constitute your acceptance to be bound by the terms and conditions of the revised FUP.

The service allows you to chat and call your contacts by instant messaging, SMS and voice. Should you subscribe also to the UppTalk number option a mobile number will be assigned to you. Please note that UppTalk numbers are not available in all regions. A third party may provide you with the UppTalk numbering service. Please check the additional terms that might be applicable in case you subscribe to the UppTalk numbering service. What you need to know about the UppTalk service before use:

a) No access to emergency services: UppTalk does not replace your mobile and / or fix phone (landline) service so you should have one of those services to ensure proper calls to emergency numbers if necessary.

b) Traditional telecommunications services: You need to have a pre-existing subscription with your telecom (fix or mobile) provider to use UppTalk. The UppTalk service is not a substitute of your telecom service providers such as mobile operators.

c) No access to premium rate services or special numbers: Please use your pre-existent subscription with your telecom provider to reach those services.

d) Jurisdiction: In some countries there are laws that may prohibit, limit or restrict the use of services such as UppTalk due to age limits, bans or regulations. If this is your case please do not use UppTalk.

1. Scope of the General Terms and Conditions of Use, Amendments

1.1 yuilop Communications I Limited and yuilop S.L. (together “UppTalk”) provides their services (“Service”) subject to the following General Terms and Conditions of Use (“T&C”), which you accept and agree through registering for the Service. UppTalk. S.L. provides you with the messages and calls to other UppTalk’s users and yuilop Communications I Ltd provides you with the SMS and outgoing calls to non-UppTalk users´ fix and mobile phones. The application of deviating terms and conditions is excluded, even if UppTalk does not explicitly reject. These T&C can be read and called up at any time from www.yuilop.com/terms or in the specific section within the application.

1.2 Amendments to these T&Cs will be made subject to observance of the statutory regulations and will be announced at www.yuilop.com/terms or through the application.

1.3 We offer you the Service exclusively as final user, therefore the reselling or commercialization of the Service is strictly prohibited so is the assignment of this contract.

1.4 The Service is not suitable for children less than 14 years-old or for legal entities. Neither can subscribe to the Service. If you belong to any of these groups you may not use the Service.

2. UppTalk Application (“App”) / Service

2.1 Through the UppTalk App, UppTalk offers you a platform for web based and mobile communication within the yuilop Community, e.g. with other UppTalk users, as well as to external connections via chats, short messaging (“SMS”), via voice telephony and/or video telephony. Some features of the App may not be available at the time you install it.

In general UppTalk does not charge you any fee for use of its Service. This does not apply for any costs charged by your mobile telephone provider or ISP for data transfer. Please check with your mobile operator or ISP what is your mobile data plan before using the UppTalk Service.

UppTalk can only ensure the free service through revenues from the dissemination of advertising material. Use of the UppTalk service therefore presupposes that you consent to receipt of advertising information. The scope of the free use of the UppTalk service is determined on the one hand by the scope of the advertising addressed to you and, on the other hand, by the conduct of the individual user and of all users of the UppTalk service (“yuilop Community”). In this respect, you consent exclusively to the sending of advertising information through the App as this is an essential condition for UppTalk to provide you with the Service; there is no obligation on your side to purchase or to conclude transactions with advertising partners of UppTalk.

2.2 The UppTalk service provides you with advertising information in the form of banners in the App (“pull advertising”) as well as via text or multi-media messages and/or e-mail (“push advertising”). Push-advertising measures presuppose that you have issued corresponding consent by checking the opt-in in the correspondent section within the App. There, you can determine the scope of the advertising information sent as well as the form of technical transmission (e.g. text or multi-media message or e-mail).

2.3 The UppTalk service is not a substitute for telecommunications services. In particular, emergency telephone numbers cannot be reached via the UppTalk service. UppTalk can also restrict use of service and/or special telephone numbers within the scope of the UppTalk service. Such numbers may include without limitation Law Enforcement Agencies, medical care, ambulance or any other emergency number; consequently you may not use the Service for this purpose. You are responsible for acquiring or subscribing to a fix or mobile service suitable that offers calls to emergency numbers. UppTalk IS NOT A SUBSTITUTE FOR YOUR MAIN FIX OR MOBILE SERVICES.

However if you attempt to make a 112 call from the mobile application in the European Union the mobile application will close and the call will be placed over your cellular carrier’s network (except from the web UppTalk application). This does not prevent you from using your mobile phone for making emergency calls via your cellular provider as normal. If you dial internationally recognized emergency service numbers while using a mobile application, the mobile application will close, the native dialler will be launched, and the call will be placed over your carrier’s cellular network.

2.4 As long as you have “virtual credit” you will be able to send SMS and perform calls to other non-UppTalk users’ mobile and fixed numbers. Virtual credit can be re-gained by subscription to UppTalk’s partner advertiser campaigns, using the Service itself or by other means that UppTalk may implement in the future.

Conversion rates between virtual credit vs voice minutes and SMS you gain and spend using the Service, may vary over the time depending on any suitable factor or factors; for example, the cost can depend on the size of the communication, the type of communication, the amount of the discount (if applicable), the sender, the intended recipient, the carrier, the country, the duration or length of the communication and/or any other suitable factor or factors.

In case of inactivity –not sending of any instant message, SMS and/or not performing any calls of any kind- during a continuous period of 30 days or more will imply the lost of your virtual credit.

2.5 Responsibility for the advertising information lies exclusively with the respective UppTalk advertising partner. UppTalk shall provide exclusively the technical transmission of the advertising information. In particular, the transmission of the advertising information shall not constitute any recommendation, guarantee or similar concerning the products and/or services offered by the advertising partner. The advertising partner bears sole responsibility for the correctness, up-to-date status and completeness of the advertising and product information, and for ensuring that the quality of the products and/or services advertised corresponds to the advertising or product information provided.

2.6 In the event you decide to procure products and/or services from a UppTalk advertising partner, a contract shall be established exclusively between you and the UppTalk advertising partner; UppTalk shall not become a party to any such contract. UppTalk draws explicit attention to the fact that the contracts with its advertising partners shall be subject to the partners’ terms and conditions of contract and, if applicable, to their general terms and conditions of business. UppTalk has no influence over the general terms and conditions of business of the advertising partners and likewise does not act as their representative, agent or distributor.

2.7 The UppTalk service is dependent entirely on advance performances by third parties, over which UppTalk has no technical influence. An advance performance for the purpose of the above is, in particular but without limitation, the provision of the communication services by telecommunications providers (mobile operators, ISPs or others). Consequently, UppTalk cannot exclude temporary restrictions or interruptions of the UppTalk service in the event of capacity bottlenecks in the provider networks as well as in the event of faults and/or maintenance work and/or work on technical alterations to the providers’ systems. Whenever possible, UppTalk shall inform you if it becomes aware of any non-availability of the UppTalk service and shall require the network operators to rectify faults immediately. IMPORTANT INFORMATION: If your Broadband Connection fails, your voice service will also fail. Your service may cease to function if there is a power cut or failure. These failures may be caused by reasons outside our control.

2.8 UppTalk is entitled to restrict, limit, suspend, intervene and / or interrupt the Service for maintenance purposes or to improve, repair or update the Service. UppTalk will make its best efforts to notify you and likewise try to mitigate the inconveniences you may suffer, You have no entitlement to permanent availability of the UppTalk service. UppTalk is entitled to restrict and/or discontinue the service, in part or in full, at any time.

2.9 There are no special measures for end users with disabilities

3. Use of the UppTalk service

3.1 Use of the UppTalk service is only possible via your pre-existent telephone number allocated to you by your mobile operator. Such number will be used as your I.D. in our systems and cannot be changed. You cannot assign the services to third parties. However if you subscribe to the UppTalk numbering service a UppTalk number will also allocated to you (subject to availability in your country). Please refer to the specific terms of the numbering service for further information.

3.2 The UppTalk service does not grant you any entitlement to the use of a specific contingent of free SMS and/or free minutes. Accordingly, you are not entitled to compensation from UppTalk in the event of termination of the UppTalk service by any cause or of withdrawal of the telephone number assigned to you for use of the UppTalk service.

3.3 UppTalk checks temporarily user’s mobile contacts directory in order to check which of the user contacts have UppTalk installed and to optimise the UppTalk service experience.

4. Your duties

4.1 You will use the UppTalk service exclusively for private purposes. You are prohibited in particular from integrating the UppTalk service fully or partially into own or other offers, or from using the UppTalk service commercially for personal or third party purposes.

4.2 You undertake furthermore to refrain from any abuse of the UppTalk service. In particular but without limitation, you undertake to refrain from

a) circumventing UppTalk security precautions and/or
b) using facilities or performing applications which result or could result in damage and/or functional failure of the UppTalk service, and/or
c) using the UppTalk service for the use of diallers, PIN calls, spamming and/or the provision of added-value or premium services and/ or
d) using the UppTalk service in an abusive way; such usage is especially reached as soon as you increase a volume of 1000 Min/SMS per week and/or

e) using the Service above the common practice and / or above a fair usage or against good morals and/or

f) Committing fraud or using the Service in a way that it might be reasonable to consider so as a sign of fraud.

g) use the Service to upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation, except in those areas that are designated for such purpose.

In case of abuse according to art. 4.1 or 4.2 or 4.3 of these T&C, UppTalk is entitled to reduce the usage or to exclude you from further usage of the UppTalk service and / or even terminate this contract.

4.3 Finally, you undertake not to make unlawful use of the UppTalk service and, in particular, to ensure that the contents of his communication do not violate applicable law, statutory and official prohibitions or good morals or any third party rights. You guarantee in particular that you will not disseminate any discriminating and/or pornographic and/or extremist content within the scope of the UppTalk service.

4.4 In the event of claims by third parties against UppTalk as a result of violation of your obligations, in particular as a result of unlawful, illegal or fraudulent use of the UppTalk service or against these T&C, you undertake to indemnify UppTalk against these claims at the first request. The indemnification also includes any costs of legal pursuit incurred by UppTalk as a result.

5. Utilisation period, ending of use

5.1 You can use the UppTalk Service for an indefinite period. You are entitled to end the use at any time without adhering to a period of notice.

5.2 The right of either party to immediate termination for important cause shall remain unaffected. An important cause shall be given for UppTalk in particular if

a) you make unlawful use of the UppTalk service, in particular use in contravention of legal provisions, other legal regulations or in violation of good morals, in the event of a strong suspicion of such, or due to an infringement of point 4.2 and/or in general you do not comply with any provision of these T&C, and/or

b) you use the UppTalk service for purposes other than private purposes, and/or

c) UppTalk license if applicable is revoke, and/or

d) the business of UppTalk is discontinued, it is not profitable or UppTalk is in bankruptcy procedures, and/or

In case of termination you will lose your virtual credit with no possibility of reimbursement.

6. Liability of UppTalk

6.1 UppTalk does not monitor nor control and therefore it has not knowledge of the contents that are distributed through the App by the users of UppTalk. People generating and sending such contents are fully and exclusively responsible. Likewise, be informed that you might be exposed to content that is offensive, illegal, obscene, harmful, unacceptable or not suitable for the children content.

6.2 UppTalk shall be liable for damage caused intentionally or through gross negligence. UppTalk shall likewise be liable for damage resulting from culpable injury to life, limb and/or health.

6.3 Specially given the Service is provided for free, if the preconditions set out in point 6.2 of these T&C are not given, UppTalk shall only be liable in the event of culpable violation of a fundamental contractual obligation (“cardinal obligation”), irrespective of the legal grounds. In such cases, the liability of UppTalk shall be limited to the contractually typical, foreseeable and proved damage. Cardinal obligations are obligations whose fulfilment makes correct execution of the contract possible in the first place, and in adherence to which you can normally trust. As such, these are obligations whose violation would endanger achievement of the purpose of the contract. The contractually typical, foreseeable damage is a maximum of € 5000 save as stated in case law or in any other law or statutory regulation.

6.4 In other respects, liability is excluded as far as allowed by applicable Law. In particular, UppTalk shall not be liable either for the defective provision of advance performances by third parties as per point 2.6 of these T&C and for any consequences of not enabling emergency calls.

6.5 In no event shall UppTalk be liable for any special, consequential, indirect, incidental damage or any loss of revenue, profit or opportunity.

6.6 If liability is excluded or limited, this shall also apply for the personal liability of the legal representatives, senior managers or other vicarious agents of UppTalk.

6.7 Some jurisdictions do not allow the liability limitations and disclaimers stated in this clause. Therefore some of them might not be applicable to you. If that is the case the liability of UppTalk shall be limited as further as legally possible.

7. Protected privileges, data protection

7.1 All brands, industrial property rights and/or logos of UppTalk and/or the UppTalk advertising partners, shown within the scope of the UppTalk service, are the property of the respective entitled party, even if they are not marked with corresponding protection references (i.e. Ò). Reproduction and/or other use of these brands, protected privileges and/or logos are not permitted without the consent of the respective entitled party.

7.2 Protection of user data and your privacy is of particular importance to UppTalk. As such, the rulings on data protection at UppTalk shall apply in extension; you likewise accept their application. See more about in our privacy policy.

8. Concluding provisions

8.1 Should a provision of these T&C be or become invalid or inoperable, either in part or in full, the validity of the other provisions shall remain unaffected.

8.2 Save otherwise stated in the law of your country, the agreement between UppTalk and you is subject to the exclusive application of Spanish Law.

Meldet man sich auch für das Nummernservice an, wird einem eine eigene UppTalk Nummer, die durch Dritte zur Verfügung gestellt wird, gegeben (von der Verfügbarkeit im jeweiligen Land abhängig). Bitte informieren Sie sich über die weiteren Bedingungen die bei der Nutzung des UppTalk Nummernservices gelten.

Was Sie wissen müssen bevor Sie den UppTalk Service nutzen:

a) Nicht verfügbar bei Notfallanrufe: UppTalk ist kein Ersatz für Ihr herkömmliches Telefon. Mit UppTalk können keine Notfallanrufe getätigt werden, weshalb Sie ein Handy oder Festnetztelefon haben sollten um sichere Notrufanrufe zu tätigen.

b) Traditionelle Telekommunikationsdienste: Sie müssen über einen Internetvertrag bzw. -verbindung (auf dem Handy oder über das Festnetz) verfügen um UppTalk zu nutzen. Der UppTalk Service ist kein Ersatz für Ihre Telekommunikationsdienste wie z.B. Ihr Handybetreiber.

c) Kein Anschluss mit Premium Rate Services oder spezielle Nummern: Bitte nutzen Sie hierfür die bestehende Verbindung mit Ihrem Handyanbieter um diese Nummern zu erreichen.

d) Zuständigkeit: In einigen Ländern kann die Nutzung von UppTalk altersbedingt, durch Banner oder Einstellungen verboten oder beschränkt sein.  Bitte nutzen Sie UppTalk in diesen Fällen nicht.

1.3. Wir bieten Ihnen unser Service ausschliesslich als Endbenutzer, daher sind der Weiterverkauf oder die Vermarktung dieses Services strengstens verboten sowie der Schuldbeitritt oder die Übertragung dieses Vertrages.

1.4. Der angebotene Service ist nicht für Kinder unter 14 Jahren noch für juristische Personen geeignet, weshalb die Anmeldung dieser in unserem Service verboten bleibt.

2. UppTalk Application („App“)/Dienst

2.1 Über die UppTalk App bietet UppTalk dem Nutzer einen Dienst für Internet basierte und mobile Kommunikation sowohl innerhalb der yuilop Community, d.h. mit anderen UppTalk Nutzern, als auch zu externen Anschlüssen über Chats, Short Messaging („SMS“) oder – nach ausdrücklicher Freigabe durch UppTalk – über Sprachtelefonie und/oder Videotelefonie.

UppTalk berechnet für die Nutzung ihres Services kein Entgelt gegenüber dem Nutzer. Davon unberührt bleiben etwaige Kosten bei Nutzung einer mobilen Datenverbindung über einen Mobilfunkanbieter, die der Mobilfunkanbieter des Nutzers für den Datentransfer in Rechnung stellt.

UppTalk kann den kostenfreien Service nur gewähren, wenn Einkünfte über die Verbreitung von Werbematerial erzielt werden. Die Nutzung der UppTalk Dienste setzt daher voraus, dass der Nutzer in den Erhalt von Werbeinformationen einwilligt. Der Umfang der kostenfreien Nutzung des UppTalk Services bestimmt sich einerseits durch den Umfang der an den Nutzer gerichteten Werbung sowie andererseits durch das Nutzungsverhalten des einzelnen Nutzers und der Gesamtheit der Nutzer des UppTalk Services („UppTalk-Community“). Dabei willigt der Nutzer ausschließlich in die Übersendung von Werbeinformationen ein, eine Kaufverpflichtung oder sonstige Verpflichtungen zum Abschluss von Geschäften mit Werbepartnern der UppTalk entstehen für den Nutzer nicht.

2.2 Im UppTalk Service erhält der Nutzer Werbeinformationen in Form von Bannern in der App („Pullwerbung“) als auch über Text- oder Multimedianachrichten und/oder eMail („Pushwerbung“). Pushwerbemaßnahmen setzen voraus, dass der Nutzer eine entsprechende Einwilligung erteilt hat. Der Nutzer kann dabei den Umfang der Übermittlung von Werbeinformationen und die Art der technischen Übermittlung (z.B. Text- oder Multimedianachricht oder eMail) bestimmen.

2.3 UppTalk ist kein Ersatz für traditionelle Telekommunikationsdienste. Insbesondere können keine Notfallnummer mit UppTalk erreicht werden. Ausserdem, kann UppTalk die Nutzung spezifischer Dienste und/oder Nummern einschränken. Diese können die folgenden ohne Einschränkungen einbeziehen: Vollzugsbehörden, ärztliche Hilfe, Ambulanz oder jegliche andere Notfallnummer; somit können Sie UppTalk nicht für diese Zwecke benutzen. Es ist Ihre Verantwortung über einen gültigen mobilen Funkdienst zu verfügen um Notfallanrufe machen zu können. UppTalk IST KEIN ERSATZ FÜR MOBILE ODER FESTNEZTDIENSTE.

Falls Sie jedoch versuchen sollten innerhalb der EU einen 112 Anruf mit Ihrem Handy zu tätigen, wird sich UppTalk schliessen und der Anruf durch Ihr mobil Netz durchgeführt (aussgeschlossen Anrufe durch UppTalk Web App). Dies erlaub Ihnen weiterhin Notrufanrufe über Ihren Handyanbieter zu tätigen. Sollten Sie eine internationale Notrufnummer in der App wählen, schliesst sich die App, die herkömmliche Tastatur wird geöffnet und der Anruf wird über Ihren Betreiber geführt.

2.4 Solange Sie über “virtuellen Kredit” verfügen, können Sie SMS und Anrufe an nicht UppTalk Nutzer, sowohl Festnetz- als auch Mobilfunknummer, versenden und tätigen. “Virtueller Kredit” kann durch Werbeaktionen mit UppTalk Werbepartner erworben werden, durch die einfache Nutzung des Services oder durch andere Wege die UppTalk in Zukunft einführen kann. Der Kurs für “virtuellen Kredit” vs Freiminuten und SMS, welches man durch die Nutzung von UppTalk bekommt und verbraucht, kann im Laufe der Zeit auf Grund entsprechender Faktoren geändert werden. Zum Beispiel können die Kosten von der Kommunikationsgröße, der Kommunikationsart, (ggf) der Ermäßigungsmänge, dem Sender, dem vorgesehenen Empfänger, dem Betreiber, dem Land, der Kommunikationsdauer und/oder andere entsprechende Faktoren abhängen.

Bei durchgehender Untätigkeit über 30 Tage -kein Nachrichtenversand (SMS und IM) oder keine ein- oder ausgehenden Anrufe-, verliert man den gesamten “virtuellen Kredit”.

2.5 Für die Werbeinformationen ist ausschließlich der jeweilige Werbepartner der UppTalk verantwortlich. UppTalk nimmt ausschließlich eine rein technische Übermittlung der Werbeinformation vor. Mit der Übermittlung der Werbeinformation ist insbesondere keine Empfehlung, Garantie oder ähnliches hinsichtlich der von dem Werberpartner angebotenen Produkte und/oder Dienstleistungen verbunden. Der Werbepartner ist für die Richtigkeit, Aktualität und Vollständigkeit der Werbe- und Produktinformation alleine verantwortlich und dafür, dass die Beschaffenheit der beworbenen Produkte und/oder Dienstleistungen den erteilten Werbe- bzw. Produktinformationen entsprechen.

2.6 Sollte sich der Nutzer für den Bezug von Produkten und/oder Dienstleistungen eines Werbepartners der UppTalk entscheiden, kommt ein Vertrag ausschließlich zwischen dem Nutzer und dem Werbepartner der UppTalk zustande; UppTalk wird nicht Vertragspartner eines solchen Vertrages. UppTalk weist ausdrücklich darauf hin, dass für die Verträge mit ihren Werbepartnern deren Vertragskonditionen und gegebenenfalls deren Allgemeine Geschäftsbedingungen gelten. UppTalk hat auf die Allgemeinen Geschäftsbedingungen der Werbepartner keinen Einfluss und handelt auch nicht als deren Vertreter.

2.7 Der UppTalk Service ist davon abhängig, dass Vorleistungen Dritter erbracht werden, auf die UppTalk technisch keinen Einfluss hat. Vorleistung in dem genannten Sinne ist insbesondere die Erbringung der Kommunikationsdienste durch Telekommunikationsanbieter. UppTalk kann daher eine zeitweise Beschränkung oder Unterbrechung des UppTalk Services bei Kapazitätsengpässen in den Anbieternetzen sowie bei Störungen und/oder Wartungsarbeiten und/oder Arbeiten wegen technischer Änderungen an den Anlagen der Anbieter nicht ausschließen. UppTalk wird den Nutzer bei Kenntnis der Nichtverfügbarkeit des UppTalk Services – sofern möglich – unterrichten und die Netzbetreiber anhalten, Störungen unverzüglich zu beseitigen.

2.8 Der Nutzer erhält keinen Anspruch auf eine dauerhafte Bereitstellung des UppTalk Services auf Basis eines dem Nutzer einmal gewährten Leistungsumfang. UppTalk ist jederzeit berechtigt, den Service ganz oder teilweise zu beschränken.

3. Nutzung des UppTalk Dienstes

3.1 Die Nutzung der UppTalk Kommunikationsdienste, wie z.B. SMS oder Sprachtelefonie an nationale und internationale Rufnummern, ist nur über die dem Nutzer zugeteilte Rufnummer möglich. Die Nutzung der auf Internet basierten Kommunikationsdienste wie die Unterhaltungen innerhalb der yuilop Community oder mit anderen Internet-Kommunikationsdiensten (e.g. Chat und Sprache) ist auch ohne zugeteilte Rufnummer möglich. Eine Abtretung der Dienste durch den Nutzer an Dritte ist nicht möglich.

3.2 Im UppTalk Service erhält der Nutzer keinen Anspruch auf die Nutzung eines bestimmten Kontingents an Frei-SMS und/oder Freiminuten. Dementsprechend steht ihm kein Ausgleichsanspruch gegenüber UppTalk im Falle der Beendigung des UppTalk Services oder des Einzuges seiner ihm zur Nutzung des UppTalk Services überlassenen Rufnummer zu.

3.3 UppTalk prüft zeitweise das Addressbuch nach neuen UppTalk Kontakten um einen optimalen UppTalk Service sicherzustellen.

4. Pflichten des Nutzers

4.1 Der Nutzer verpflichtet sich, sämtliche erforderlichen persönlichen Daten, insbesondere im Zusammenhang mit der Registrierung für den UppTalk Service, zutreffend und vollständig anzugeben.

4.2 Der Nutzer wird die Leistungen des UppTalk Services ausschließlich zu privaten Zwecken verwenden. Dem Nutzer ist es insbesondere untersagt, den UppTalk Service ganz oder teilweise in eigene oder andere Angebote zu integrieren oder den UppTalk Service für eigene Zwecke oder Zwecke Dritter kommerziell zu nutzen.

4.3 Der Nutzer verpflichtet sich ferner, jede missbräuchliche Nutzung des UppTalk Services zu unterlassen. Insbesondere verpflichtet er sich, es zu unterlassen,

a) Sicherheitsvorkehrungen der UppTalk zu umgehen und/oder

b) Einrichtungen zu nutzen oder Anwendungen auszuführen, die zu einer Beschädigung und/oder zu einem Funktionsausfall des UppTalk Services führen oder führen können und/oder
c) den UppTalk Service für den Einsatz von Dialern, Ping-Anrufen, Spaming und/oder das Erbringen von Mehrwertdiensten zu nutzen und/oder
d) den UppTalk Service in einer über das verkehrs- und marktübliche Maß hinausgehenden Weise zu nutzen; eine solche Nutzung liegt insbesondere dann vor, wenn der Nutzer ein Volumen von 1000 Min/SMS/Kalenderwoche überschreitet und/oder

e) zu betrügen oder den Service auf eine betrügerische Art und Weise zu nutzen und/oder

f) den UppTalk Service für das Hochladen, Veröffentlichen, Versenden, Übertragen oder auf irgendwelche andere Art und Weise Verbreiten von unerwünschter oder unerlaubter Reklame, Werbematerial, Spam, Massenmail oder jegliche andere Art der Anforderung zu nutzen; in den dafür entsprechenden Bereichen aussgeschlossen.

Im Falle einer missbräuchlichen Nutzung gemäß § 4.1, 4.2 oder 4.3 ist UppTalk berechtigt, die Nutzung des UppTalk Services durch den Nutzer einzuschränken oder den Nutzer von einer weiteren Nutzung des UppTalk Services auszuschließen.

4.4 Schließlich verpflichtet sich der Nutzer, den UppTalk Service nicht rechtswidrig in Anspruch zu nehmen und insbesondere dazu, dass die Inhalte seiner Kommunikation nicht gegen geltendes Recht, gesetzliche und behördliche Verbote oder die guten Sitten verstoßen. Insbesondere garantiert der Nutzer, dass er im Rahmen des UppTalk Services keine diskriminierenden und/oder pornografischen und/oder extremistischen Inhalte verbreiten wird.

4.5 Sollte UppTalk von Dritten wegen einer Verletzung der Pflichten des Nutzers, insbesondere wegen einer rechtswidrigen Inanspruchnahme des UppTalk Services in Anspruch genommen werden, verpflichtet sich der Nutzer UppTalk auf erstes Anfordern von diesen Ansprüchen freizustellen und UppTalk schadlos zu halten. Die Freistellung umfasst auch etwaig entstehende Rechtsverfolgungskosten der UppTalk.

5. Nutzungsdauer, Beendigung der Nutzung

5.1 Der Nutzer kann den UppTalk Service auf unbestimmte Zeit in Anspruch nehmen. Er ist berechtigt, die Nutzung jederzeit ohne Einhaltung einer Frist zu beenden. UppTalk ist berechtigt, den Service mit einer Frist von 1 Woche zum Ende einer Kalenderwoche ganz oder teilweise zu kündigen.

5.2 Das Recht zur fristlosen Kündigung aus wichtigem Grund bleibt für beide Parteien unberührt. Für UppTalk liegt ein wichtiger Grund insbesondere dann vor, wenn

a) der Nutzer den UppTalk Service rechtswidrig in Anspruch nimmt, insbesondere bei der Nutzung gegen Strafvorschriften, sonstige Rechtsvorschriften oder die guten Sitten verstößt oder ein entsprechender dringender Verdacht besteht und/oder

b) der Nutzer den UppTalk Service zu anderen als privaten Zwecken nutzt

c) der Nutzer die Lizenz von UppTalk aufhebt

d) das Geschäft von UppTalk unterbrechen oder nicht rentabel sein sollte, oder UppTalk Konkurs anmelden sollte.

Im Falle einer Beendigung des UppTalk Services verlieren Sie Ihren “virtuellen Kredit” ohne Recht auf Rückerstattung oder Entschädigung.

6. Haftung UppTalk

6.1 UppTalk hat weder Kenntnis noch Kontrolle über die Inhalte die Nutzer über UppTalk verbreiten. Die Verantwortung der verbreiteten Inhalte fällt ausschliesslich auf die jeweiligen Nutzer. Folglich informieren wir Sie darüber dass Sie beleidigenden, illegalen, anstössigen, inakzeptablen, schädlichen oder nicht für Kinder geeigneten Inhalt ausgesetzt sein könnten.

6.2 UppTalk haftet für Schäden, die vorsätzlich oder grob fahrlässig verursacht werden. Ebenso haftet UppTalk für Schäden aus der schuldhaften Verletzung des Lebens, des Körpers und/oder der Gesundheit.

6.3 Liegen die in Ziffer 5.1 dieser AGB genannten Voraussetzungen nicht vor, haftet UppTalk gleich aus welchem Rechtsgrund nur, wenn eine wesentliche Vertragspflicht (Kardinalpflicht) schuldhaft verletzt wird. In diesen Fällen ist die Haftung der UppTalk auf den vertragstypisch vorhersehbaren Schaden beschränkt. Als Kardinalspflichten gelten solche Pflichten, deren Erfüllung die ordnungsgemäße Durchführung des Vertrages überhaupt erst ermöglicht und auf deren Einhaltung der Nutzer regelmäßig vertrauen darf. Es handelt sich somit um Pflichten, deren Verletzung die Erreichung des Vertragszweckes gefährden würde. Der vertragstypisch vorhersehbare Schaden beträgt höchstens € 500,00.

6.4 Im Übrigen ist eine Haftung ausgeschlossen. Insbesondere haftet UppTalk nicht für eine mangelhafte Erbringung von Vorleistungen Dritter gemäß Ziffer 2.6 dieser AGB.

6.5 Zu keinem Fall ist UppTalk weder für spezielle, indirekte oder beiläufige Schäden verantwortlich, noch im Fall von Einkommens-, Gewinn- oder Opportunitätsverluste.

6.6. Soweit die Haftung ausgeschlossen oder beschränkt wird, gilt dies auch für die persönliche Haftung der gesetzlichen Vertreter, leitenden Angestellten oder sonstigen Erfüllungsgehilfen der UppTalk.

6.7. Die in dieser Klausel beinhalteten Haftungseinschränkungen oder -erlassungen sind nach einigen Rechtssprechungen nicht gültig., weshalb einige der vorliegenden Einschränkungen nicht auf Sie zutreffen können. In diesem Fall haftet UppTalk im Rahmen der gesetzlichen Bestimmungen.

7. Schutzrechte, Datenschutz

7.1 Sämtliche im Rahmen des UppTalk Services dargestellten Marken, gewerblichen Schutzrechte und/oder Logos der UppTalk und/oder der Werbepartner der UppTalk stehen im Eigentum des jeweilig Berechtigten, auch wenn diese nicht mit entsprechenden Schutzzeichen gekennzeichnet sind. Eine Vervielfältigung und/oder sonstige Nutzung dieser Marken, Schutzrechte und/oder Logos ist ohne Zustimmung des jeweilig Berechtigten nicht gestattet.

7.2 Der Schutz der Nutzerdaten ist für UppTalk von besonderer Bedeutung. Insoweit gelten ergänzend die Regelungen zum Datenschutz bei UppTalk, deren Verwendung der Nutzer bei Registrierung ebenfalls anerkennt. Mehr Information können Sie unter Datenschutz nachlesen.

7.3 UppTalk weist ausdrücklich darauf hin, dass es notwendig ist für die Bereitstellung des UppTalk Dienstes Daten des Nutzers auch im europäischen Ausland zu speichern und zu verarbeiten.

8. – UppTalk Kostenpflichtige Dienste

yuilop S.L. oder eine ihrer Tochtergesellschaften bietet zwei kostenpflichtige Dienste an:

- Werbefreies Abonnement von UppTalk

- Kostenpflichtiges Aufladen von virtuellem Guthaben (um Anrufe und SMS an Kontakte außerhalb der yuilop Community zu tätigen). Hinweis: Alternativ können Sie Ihr virtuelles Guthaben kostenlos aufladen, indem Sie an den Aktivitäten, wie unter Punkt 2.4 unserer AGB beschrieben, teilnehmen.

Bitte berücksichtigen Sie, dass wir die kostenpflichtigen Services zurzeit neu einführen und diese Funktion gegebenenfalls für ihr Gerät, Betriebssystem oder Land noch nicht verfügbar ist.

8.1 Wenn Sie die kostenpflichtigen Dienste von UppTalk in Anspruch nehmen wollen, müssen Sie allen Bedingungen dieses Abschnittes zustimmen. Alle anderen Bestimmungen dieses Abkommens gelten auch für UppTalks kostenpflichtige Dienste.

8.2 Zahlungen erfolgen ausschließlich in der/den von UppTalk angegebenen Art(en); dies umfasst auch von UppTalk unabhängige Dienstleister. Im Moment der Zahlung, müssen Sie außerdem jegliche spezifischen Bestimmungen akzeptieren, einschließlich, aber ohne Beschränkung, Bestimmungen zur Verarbeitung persönlicher Daten durch Dienstleister, die unabhängig von UppTalks Bestimmungen sein können und für die UppTalk nicht verantwortlich ist.

8.3 Bitte überlegen Sie sich Ihren Kauf sorgfältig: Alle Käufe sind endgültig und Zahlungen für kostenpflichtige UppTalk Dienste, die über die Plattformen dritter Anbieter getätigt werden, können nicht erstattet werden. Für den Fall, dass Sie glauben, eine fehlerhafte Zahlung getätigt zu haben, müssen Sie den UppTalk Kundendienst innerhalb von 14 Tagen nach dem Kauf kontaktieren und belegen, dass Sie eine fehlerhafte Rechnung bezahlt haben. Andernfalls müssen wir uns auf die Informationen in unserem System verlassen und annehmen, dass der Kauf korrekt und von Ihnen bewusst ausgeführt wurde. Wir erstatten keine Käufe, die vor mehr als 14 Tagen getätigt wurden. Wenn Sie Ihr Guthaben 180 Tage lang nicht genutzt haben, wird es automatisch verfallen. UppTalk wird versuchen, Ihnen eine Erinnerung vor dem Verfallsdatum zu senden. Wenn Ihr Account abläuft oder gekündigt wird, verlieren Sie das verbleibende Guthaben in Ihrem UppTalk Account. Beachten Sie, dass bestimmte Sonderaktionen kürzeren Verfallsdaten unterliegen können, innerhalb derer Sie das Guthaben verwenden müssen. Bitte lesen Sie deshalb die geltenden Kaufbestimmungen stets sorgfältig.

8.4 Die Gebühren für UppTalks kostenpflichtige Dienste sind freibleibend. Für UppTalkOut finde diese Tarife Anwendung, die im Moment der Nutzung des Services gelten. Bitte überprüfen Sie stets die aktuellen Gebühren auf http://yuilop.com/rates/. Sofern nicht anders angegeben, verstehen sich die Preise stets inklusive Mehrwertsteuer. Anrufe werden im dreißig-Sekunden-Takt abgerechnet und auf den nächsten Euro- oder Dollar-Cent-Betrag (oder entsprechend einer anderen geltenden Währungseinheit) aufgerundet, außer es wird in den aktuellen Tarifen (siehe Website) anders festgelegt.

8.5 Sollten Sie irgendwelche Probleme im Zusammenhang  mit der Zahlung, den Preisen oder der Nutzung von UppTalks kostenpflichtigen Diensten haben, kontaktieren Sie bitte support@yuilop.com. Bitte beachten Sie, dass UppTalk seinen Kundendienst nicht in allen Sprachen anbietet und Englisch die im Allgemeinen verwendete Sprache ist.

8.6 Wenn das Gesetz Ihres Landes oder Ihres Aufenthaltortes Ihnen die Nutzung von UppTalks kostenpflichtigen Diensten verbietet, sei es aufgrund von Altersbeschränkungen, Inhaltsbeschränkungen oder anderen gesetzlichen Einschränkungen, dürfen Sie UppTalks kostenpflichtige Dienste nicht nutzen. Jegliche Zahlung, die Sie tätigen, wird nicht erstattet.

9. Schlussbestimmungen

9.1 Ist oder wird eine Bestimmung dieser AGB ganz oder teilweise unwirksam oder undurchführbar, so bleibt die Wirksamkeit der übrigen Bestimmungen hiervon unberührt.

9.2 Die Vereinbarung zwischen UppTalk und dem Nutzer unterliegt der ausschließlichen Anwendbarkeit deutschen Rechts mit Ausnahme der Vorschriften, welche internationalen Rechtsordnungen anzuwenden sind (Internationales Privatrecht).

UppTalk es un servicio de comunicaciones que permite comunicarte de forma gratuita con tus contactos. Para utilizar el servicio tienes que instalar la aplicación UppTalk en tu dispositivo móvil. El servicio consiste en la posibilidad de chatear y llamar a tus contactos a través de mensajería instantánea, SMS y voz. Si además te das de alta en el servicio de numeración, UppTalk te asignará un número (es posible que en tu país la opción UppTalk con numeración no esté disponible). El servicio de numeración podría ser proporcionado por un tercero. Por favor, revisa las condiciones particulares que podrían ser de aplicación para el servicio de numeración.

Es importante que sepas que:

a) UppTalk no dispone de acceso a llamadas a los servicios de emergencia: UppTalk no reemplaza tus servicios de telefonía móvil o fijo. Debes tener uno de esos servicios para asegurar el acceso a llamadas a números de emergencia.

b) Para poder usar UppTalk es necesario que estés dado de alta con un proveedor de servicios de telecomunicaciones (fijo o móvil) con anterioridad. El servicio UppTalk no es un sustituto de tus servicios de telecomunicaciones como, por ejemplo, el que te presta tu operador de telefonía móvil.

c) UppTalk no dispone de acceso a servicios de tarificación adicional ni a números especiales. Por favor usa el servicio de tu operador para acceder a estos servicios.

d) Jurisdicción: En algunos países hay leyes que prohíben, limitan o restringen el uso de servicios como UppTalk, debido a la imposición de límites de edad u otras limitaciones establecidas en la Ley de tu país. Si este es tu caso, por favor no utilices UppTalk.

1. Objeto de las Condiciones Generales del Servicio. Modificaciones:

1,1 yuilop Communications I Limited and yuilop S.L. (“UppTalk”) prestan sus servicios (el “Servicio”) con sujeción a los siguientes Condiciones Generales del Servicio (“CCGG”), las cuales aceptas a través del alta en el Servicio. yuilop S.L te prestará el servicio de mensajes y llamadas a otros usuarios de UppTalk y yuilop Communications I Ltd te proporciona el servicio de SMS y llamadas salientes a teléfonos fijos y móviles a otros usuarios que no tengan la aplicación instalada. No está permitida la aplicación de otras condiciones que se desvíen de las presentes. 1.2 Las modificaciones de estas CCGG se harán respetando las normas legales y se anunciarán en www.yuilop.com o a través de la aplicación.

1.3 Te ofrecemos el Servicio exclusivamente como usuario final, por lo tanto, la reventa o comercialización del Servicio está estrictamente prohibida así como la subrogación o cambio de titularidad de este contrato.

1.4 El Servicio no es adecuado para niños menores de 14 años ni para personas jurídicas, por lo tanto el alta en el Servicio no está permitida para estas personas.

2. La aplicación UppTalk (“APP” o “El Servicio”)

2.1 A través de la App UppTalk, UppTalk te ofrece una plataforma de comunicación basada en web para comunicarte con otros usuarios y no usuarios de UppTalk a través de chat, mensajes cortos (“SMS”), voz y / o video. Algunas de las funcionalidades de la aplicación puede no estar disponible en el momento de instalación.

UppTalk en términos generales no te cobrará por el uso del Servicio. No obstante, tu proveedor de telefonía móvil o ISP podría cobrarte determinados cargos en concepto de transferencia de datos. Por favor, consulta tu plan de precios con tu operador de telefonía móvil o ISP antes de utilizar el Servicio UppTalk.
UppTalk sólo puede garantizar la gratuidad del servicio a través de los ingresos provenientes de la publicidad. El uso del servicio UppTalk por lo tanto, presupone que tú das tu consentimiento a la recepción de información publicitaria. La utilización y funcionalidad del servicio depende de la cantidad y calidad de publicidad, de tu comportamiento como usuario individual y del comportamiento de todos los usuarios del servicio UppTalk. Por lo tanto, autorizas el envío de información publicitaria en la aplicación, puesto que es una condición esencial para que UppTalk pueda prestarte el Servicio. No estás obligado a comprar ni contratar servicios con los socios anunciantes de UppTalk.

2.2 El servicio UppTalk te proporciona publicidad en forma de banners en la aplicación (“pull advertising“), así como a través de mensajes de texto o multimedia y / o correo electrónico (“push-advertising“). Para el envío de push-advertising solicitaremos tu consentimiento en la sección correspondiente dentro de la aplicación. Allí, podrás también elegir la naturaleza de la información publicitaria enviada, así como la forma de transmisión técnica (por ejemplo, un mensaje de texto o multimedia o e-mail).

2.3 El servicio de UppTalk no es un sustituto de los servicios tradicionales de telecomunicaciones. En particular, no puedes acceder a los números telefónicos de emergencia a través del servicio UppTalk. UppTalk también puede restringir el uso del servicio a números telefónicos especiales. Estos números pueden incluir, sin limitación los de Fuerzas y Cuerpos de Seguridad del Estado, atención médica, ambulancias o cualquier otro número de emergencia y, en consecuencia no se puede utilizar el Servicio para este propósito. Tú eres responsable de disponer de un servicio adecuado que posibilite el acceso a llamadas a números de emergencia. UppTalk NO ES UN SUSTITUTO DE TU LÍNEA FIJA O MÓVIL PRINCIPAL.

Sin embargo si intentas realizar una llamada al 112 desde UppTalk en la Unión Europea, la aplicación se cerrará y la llamada se hará a través de la red de tu operador (excepto para la aplicación web de UppTalk) Puedes seguir realizando llamadas de emergencia a través de tu teléfono móvil de manera normal. Si marcas un número de emergencia internacional la aplicación se cerrará y se lanzará el marcador nativo de tu terminal y la llamada se realizará a través de tu operador.

2.4 Siempre y cuando dispongas de “crédito virtual” podrás enviar SMS y realizar llamadas a usuarios no UppTalk. Puedes ganar crédito virtual dándote de alta en campañas de socios anunciantes de UppTalk, por la mera utilización del  Servicio o por otros medios que UppTalk puede implementar en el futuro.
La equivalencia entre el crédito virtual y la cantidad de minutos y SMS que ganas y gastas por el uso del Servicio puede variar a lo largo del tiempo, ya que depende de múltiples factores, como por ejemplo el coste puede depender del tamaño, tipo, cantidad, descuento (si se aplicara) del evento de comunicación además del receptor, operador, país y duración u otros factores.

Ten en cuenta que perderás el crédito virtual en el caso de que no envíes ningún chat o SMS y/o no realizaras ninguna llamada durante un periodo continuado de 30 días.

2.5 La responsabilidad por la publicidad es exclusivamente del socio anunciante de UppTalk. UppTalk a este respecto prestará en exclusiva el servicio de transmisión técnica de la información publicitaria. A este respecto, la difusión de publicidad no constituye una recomendación, garantía o similar sobre los productos y / o servicios ofrecidos por el socio anunciante. El socio anunciante es el único responsable de la exactitud y la integridad de la publicidad, la información del producto y de garantizar la calidad de los productos o servicios anunciados.

2.6 En el caso de que decidas adquirir productos o contratar servicios de un socio anunciante se establecerá una relación contractual exclusivamente entre tú y el socio anunciante; UppTalk no es parte en ese contrato. UppTalk no tiene ninguna influencia sobre los términos y condiciones generales de negocio de los socios de publicidad y no actúa como su representante, agente o distribuidor.

2.7 El servicio UppTalk depende por completo del rendimiento por parte de terceros, sobre los cuales UppTalk no tiene ninguna influencia técnica; En particular, pero sin limitación, la prestación de los servicios de comunicaciones por los proveedores de telecomunicaciones (operadores móviles, proveedores de Internet u otros). 3. La utilización del servicio UppTalk

Dicho número será tu identificación en nuestros sistemas y no se puede cambiar. Si adicionalmente te das de alta en el servicio de numeración UppTalk se te asignará además un número UppTalk (sujeto a disponibilidad en tu país). Por favor consulte las condiciones particulares del servicio de numeración para más información.

3.2 El servicio UppTalk no te concede ningún derecho a la utilización de un volumen específico de SMS y / o minutos gratis. En consecuencia, no tienes derecho al reembolso o indemnización por parte de UppTalk en el caso de terminación del servicio UppTalk por cualquier causa, incluida la retirada del número de teléfono UppTalk asignado.

3.3 UppTalk accederá momentáneamente a tu agenda para comprobar cuál de tus contactos ha instalado UppTalk y para la optimización de la experiencia del servicio UppTalk.

4. Tus obligaciones

4.1 Sólo podrás usar el Servicio UppTalk para fines privados. Se prohíbe, en particular, la integración del servicio UppTalk total o parcialmente en ofertas propias o de otro tipo, o utilizar el servicio UppTalk para fines comerciales propios o de terceros.

4.2 Te comprometes, a abstenerte de cualquier abuso del servicio UppTalk. En particular, pero sin limitación, te comprometes a:

a) No eludir las medidas de seguridad de UppTalk y / o

b) No instalar o desarrollar aplicaciones que generen o puedan generar insuficiencia funcional del servicio UppTalk, y / o

c) No utilizar el servicio UppTalk para el uso de los marcadores automáticos, llamadas PIN, el envío de publicidad no solicitada o spam y / o para la prestación de servicios valor añadido o servicios premium y / o

f) No cometer fraude o a no usar el Servicio de una manera que podría ser razonable considerar como indicio de fraude.

g) No utilizar el Servicio para subir, publicar, enviar por e-mail, transmitir o de cualquier otra forma publicidad no solicitada o autorizada, material publicitario, “correo basura”, “spam”, “cartas en cadena”, “esquemas piramidales”, o cualquier otra forma de solicitud, excepto en aquellas áreas que han sido designadas para tal fin.

En caso de uso indebido de acuerdo con los art. 4.1 o 4.2 o 4.3, UppTalk tiene derecho a reducir y / o suspender el uso del Servicio y / o a rescindir el presente contrato.

4.3 Por último, te comprometes a no hacer uso indebido del servicio UppTalk y, en particular, garantizas expresamente que el contenido de tus comunicaciones a través de UppTalk no infringen la legislación aplicable, las buenas costumbres o los derechos de terceros. Específicamente, no difundirás ningún material discriminatorio y / o pornográfico y / o de contenido extremista a través del servicio UppTalk.

4.4 En el caso de reclamaciones de terceros contra UppTalk como consecuencia de un incumplimiento de tus obligaciones, en particular, como consecuencia de un uso indebido, ilegal o fraudulento del servicio de UppTalk o en contra de estas CCGG, te comprometes a indemnizar a UppTalk a la primera solicitud de éste. La indemnización también incluirá los costes judiciales y de abogados incurridos por UppTalk como resultado de tu eventual incumplimiento.

5. Duración y terminación

5.1 Puedes utilizar el servicio UppTalk por un período indefinido. Tienes además derecho a darte de baja en cualquier momento sin dar ningún plazo de preaviso.

5.2 No obstante lo anterior, el derecho de cualquiera de las partes a la terminación inmediata por causa importante no se verá afectado. Una causa importante se dará en particular, si se

a) hiciera uso ilegal del servicio UppTalk, en particular en contravención de las disposiciones legales u otras regulaciones, contra las buenas costumbres, en el caso de una fuerte sospecha de los mismos o debido a una infracción del punto 4.2 y / o, en general si incumplieras cualquier disposición de estas CCGG.

b) utilizara el servicio de UppTalk para fines distintos del uso privado.

c) revocara la licencia de UppTalk

d) interrumpiera el negocio de UppTalk o no fuera rentable o UppTalk se encontrara concurso de agresores o similar.

En el supuesto de terminación perderás tu crédito virtual sin derecho a reembolso.

6. Responsabilidad de UppTalk

6,1 UppTalk no controla ni tiene conocimiento de los contenidos que se distribuyen a través de la aplicación por los usuarios de UppTalk. La responsabilidad por los contenidos que las personas envían recae exclusivamente en ellas. En consecuencia, te informamos de que podrías estar expuesto a contenido ofensivo, ilegal, obsceno, inaceptable, perjudicial, o no adecuado para los niños.

6.2 UppTalk será responsable por los daños causados ​​intencionadamente o por negligencia grave. UppTalk también será responsable por los daños resultantes en una lesión culposa, contra la vida, la integridad física y / o la salud.

Como tal, se trata de obligaciones cuya violación pondría en peligro el logro de la finalidad del contrato. La responsabilidad contractual típico por los daños previsibles es de un máximo de 5000 €, salvo que la jurisprudencia o la ley de tu país dispusieran otra cosa.

6.4 Para los demás supuestos, la responsabilidad queda excluida en la medida de lo permitido por la ley aplicable. En particular, UppTalk no será responsable ni de la prestación defectuosa ni del rendimiento por parte de terceros, específicamente los referidos en el punto 2.6 de estas CCGG, así como de las consecuencias de la imposibilidad técnica de acceso a las llamadas de emergencia.

6.5 En ningún caso será responsable UppTalk por los daños especiales, indirectos, incidentales o de cualquier pérdida de ingresos, beneficios u oportunidades.

6.6 Para los supuestos donde la responsabilidad es eximida o limitada, será extensible también para la responsabilidad personal de los representantes legales, directivos u otros de UppTalk.

6.7 Algunas jurisdicciones no permiten las limitaciones de responsabilidad o las exenciones de responsabilidad establecidas en la presente cláusula. Por lo tanto, algunas de estas limitaciones podrían no ser aplicables en tu caso. En este caso la responsabilidad de UppTalk se limitará tanto como legalmente sea posible.

7. Derechos de propiedad intelectual e industrial, protección de datos

7.1 Todas las marcas, derechos de propiedad intelectual e industrial y / u otros signos distintivos de UppTalk y / o de los socios anunciantes de UppTalk, que se muestra en UppTalk son propiedad de los titulares de esos derechos, incluso si no están marcados con la referencias correspondientes (ej: ®). 8 – Servicios de pago

UppTalk o cualquiera de sus filiales dependiendo del caso te ofrece dos opciones de pago:

- Suscripción a UppTalk libre de publicidad

- Recargas de créditos virtuales (que te permite hacer llamadas y SMS a personas que no tengan instalado UppTalk) recuerda que, alternativamente, puedes ganar créditos virtuales gratis, participando en las actividades mencionadas en el punto 2.4.

Ten en cuenta que en la actualidad estamos desplegando el servicio de pago por lo que esta característica puede que no esté disponible para tu dispositivo, sistema operativo o en tu país.

8.1 Si desea utilizar los servicios de pago UppTalk, debe aceptar todos los términos de esta cláusula. Todas las demás disposiciones de las presentes condiciones generales se aplicarán también a los servicios de pago de pago UppTalk.

8.2 Los pagos se efectuarán exclusivamente en la forma indicada por UppTalk incluso a través de proveedores de servicios independientes de UppTalk. UppTalk tratará de enviarte un recordatorio antes de que caduque. Si tu cuenta de usuario expira o finaliza también perderás el crédito restante en tu cuenta de usuario. Ten en cuenta que algunas promociones especiales pueden estar sujetas a fechas de vencimiento más cortas, así que por favor lee los términos aplicables en el momento de la compra.

8.4 Los cargos por los servicios de pago de UppTalk están sujetos a cambios. 8.6 Si la legislación de su país o lugar prohíbe el uso de los servicios de pago UppTalk ya sea debido a restricciones de edad, leyes de contenido u otras restricciones legales, no se debes utilizar los servicios de pago de UppTalk y los pagos que se realicen no serán reembolsados.

9. Disposiciones finales

9.1 En caso de que cualquier disposición de estas CCGG sea o se declare inválida o nula, ya sea en todo o en parte, la validez de las demás disposiciones no se verá afectadas.

9.2 Salvo que la legislación de tu país disponga otra cosa, este acuerdo se regirá por la legislación española.

End User License Agreement

UppTalk is a communication service that allows you to communicate for free with your contacts. In order to use the service, you have to install the UppTalk application in your device. The service allows you to chat and call your contacts by instant messaging, SMS and voice. Should you subscribe also to the UppTalk number option a mobile number will be assigned to you. Please note that UppTalk numbers are not available in all regions. A third party may provide you with the UppTalk numbering service. Please check the additional terms that might be applicable in case you subscribe to the UppTalk numbering service. What you need to know about the UppTalk service before use:

a) No access to emergency services: UppTalk does not replace your mobile and / or fix phone (landline) service so you should have one of those services to ensure proper calls to emergency numbers if necessary.

b) Traditional telecommunications services: You need to have a pre-existing subscription with your telecom (fix or mobile) provider to use UppTalk. The UppTalk service is not a substitute of your telecom service providers such as mobile operators.

c) No access to premium rate services or special numbers: Please use your pre-existent subscription with your telecom provider to reach those services.

d) Jurisdiction: In some countries there are laws that may prohibit, limit or restrict the use of services such as UppTalk due to age limits, bans or regulations. If this is your case please do not use UppTalk.

1. Scope of the General Terms and Conditions of Use, Amendments

1.1 yuilop Communications I Limited and yuilop S.L. (together “UppTalk”) provides their services (“Service”) subject to the following General Terms and Conditions of Use (“T&C”), which you accept and agree through registering for the Service. UppTalk. S.L. provides you with the messages and calls to other UppTalk’s users and yuilop Communications I Ltd provides you with the SMS and outgoing calls to non-UppTalk users´ fix and mobile phones. The application of deviating terms and conditions is excluded, even if UppTalk does not explicitly reject. These T&C can be read and called up at any time from www.yuilop.com/terms or in the specific section within the application.

1.2 Amendments to these T&Cs will be made subject to observance of the statutory regulations and will be announced at www.yuilop.com/terms or through the application.

1.3 We offer you the Service exclusively as final user, therefore the reselling or commercialization of the Service is strictly prohibited so is the assignment of this contract.

1.4 The Service is not suitable for children less than 14 years-old or for legal entities. Neither can subscribe to the Service. If you belong to any of these groups you may not use the Service.

2. UppTalk Application (“App”) / Service

2.1 Through the UppTalk App, UppTalk offers you a platform for web based and mobile communication within the yuilop Community, e.g. with other UppTalk users, as well as to external connections via chats, short messaging (“SMS”), via voice telephony and/or video telephony. Some features of the App may not be available at the time you install it.

In general UppTalk does not charge you any fee for use of its Service. This does not apply for any costs charged by your mobile telephone provider or ISP for data transfer. Please check with your mobile operator or ISP what is your mobile data plan before using the UppTalk Service.

UppTalk can only ensure the free service through revenues from the dissemination of advertising material. Use of the UppTalk service therefore presupposes that you consent to receipt of advertising information. The scope of the free use of the UppTalk service is determined on the one hand by the scope of the advertising addressed to you and, on the other hand, by the conduct of the individual user and of all users of the UppTalk service (“yuilop Community”). In this respect, you consent exclusively to the sending of advertising information through the App as this is an essential condition for UppTalk to provide you with the Service; there is no obligation on your side to purchase or to conclude transactions with advertising partners of UppTalk.

2.2 The UppTalk service provides you with advertising information in the form of banners in the App (“pull advertising”) as well as via text or multi-media messages and/or e-mail (“push advertising”). Push-advertising measures presuppose that you have issued corresponding consent by checking the opt-in in the correspondent section within the App. There, you can determine the scope of the advertising information sent as well as the form of technical transmission (e.g. text or multi-media message or e-mail).

2.3 The UppTalk service is not a substitute for telecommunications services. In particular, emergency telephone numbers cannot be reached via the UppTalk service. UppTalk can also restrict use of service and/or special telephone numbers within the scope of the UppTalk service. Such numbers may include without limitation Law Enforcement Agencies, medical care, ambulance or any other emergency number; consequently you may not use the Service for this purpose. You are responsible for acquiring or subscribing to a fix or mobile service suitable that offers calls to emergency numbers. UppTalk IS NOT A SUBSTITUTE FOR YOUR MAIN FIX OR MOBILE SERVICES.

However if you attempt to make a 112 call from the mobile application in the European Union the mobile application will close and the call will be placed over your cellular carrier’s network (except from the web UppTalk application). This does not prevent you from using your mobile phone for making emergency calls via your cellular provider as normal. If you dial internationally recognized emergency service numbers while using a mobile application, the mobile application will close, the native dialler will be launched, and the call will be placed over your carrier’s cellular network.

2.4 As long as you have “virtual credit” you will be able to send SMS and perform calls to other non-UppTalk users’ mobile and fixed numbers. Virtual credit can be re-gained by subscription to UppTalk’s partner advertiser campaigns, using the Service itself or by other means that UppTalk may implement in the future.

Conversion rates between virtual credit vs voice minutes and SMS you gain and spend using the Service, may vary over the time depending on any suitable factor or factors; for example, the cost can depend on the size of the communication, the type of communication, the amount of the discount (if applicable), the sender, the intended recipient, the carrier, the country, the duration or length of the communication and/or any other suitable factor or factors.

In case of inactivity –not sending of any instant message, SMS and/or not performing any calls of any kind- during a continuous period of 30 days or more will imply the lost of your virtual credit.

2.5 Responsibility for the advertising information lies exclusively with the respective UppTalk advertising partner. UppTalk shall provide exclusively the technical transmission of the advertising information. In particular, the transmission of the advertising information shall not constitute any recommendation, guarantee or similar concerning the products and/or services offered by the advertising partner. The advertising partner bears sole responsibility for the correctness, up-to-date status and completeness of the advertising and product information, and for ensuring that the quality of the products and/or services advertised corresponds to the advertising or product information provided.

2.6 In the event you decide to procure products and/or services from a UppTalk advertising partner, a contract shall be established exclusively between you and the UppTalk advertising partner; UppTalk shall not become a party to any such contract. UppTalk draws explicit attention to the fact that the contracts with its advertising partners shall be subject to the partners’ terms and conditions of contract and, if applicable, to their general terms and conditions of business. UppTalk has no influence over the general terms and conditions of business of the advertising partners and likewise does not act as their representative, agent or distributor.

2.7 The UppTalk service is dependent entirely on advance performances by third parties, over which UppTalk has no technical influence. An advance performance for the purpose of the above is, in particular but without limitation, the provision of the communication services by telecommunications providers (mobile operators, ISPs or others). Consequently, UppTalk cannot exclude temporary restrictions or interruptions of the UppTalk service in the event of capacity bottlenecks in the provider networks as well as in the event of faults and/or maintenance work and/or work on technical alterations to the providers’ systems. Whenever possible, UppTalk shall inform you if it becomes aware of any non-availability of the UppTalk service and shall require the network operators to rectify faults immediately. IMPORTANT INFORMATION: If your Broadband Connection fails, your voice service will also fail. Your service may cease to function if there is a power cut or failure. These failures may be caused by reasons outside our control.

2.8 UppTalk is entitled to restrict, limit, suspend, intervene and / or interrupt the Service for maintenance purposes or to improve, repair or update the Service. UppTalk will make its best efforts to notify you and likewise try to mitigate the inconveniences you may suffer, You have no entitlement to permanent availability of the UppTalk service. UppTalk is entitled to restrict and/or discontinue the service, in part or in full, at any time.

2.9 There are no special measures for end users with disabilities

3. Use of the UppTalk service

3.1 Use of the UppTalk service is only possible via your pre-existent telephone number allocated to you by your mobile operator. Such number will be used as your I.D. in our systems and cannot be changed. You cannot assign the services to third parties. However if you subscribe to the UppTalk numbering service a UppTalk number will also allocated to you (subject to availability in your country). Please refer to the specific terms of the numbering service for further information.

3.2 The UppTalk service does not grant you any entitlement to the use of a specific contingent of free SMS and/or free minutes. Accordingly, you are not entitled to compensation from UppTalk in the event of termination of the UppTalk service by any cause or of withdrawal of the telephone number assigned to you for use of the UppTalk service.

3.3 UppTalk checks temporarily user’s mobile contacts directory in order to check which of the user contacts have UppTalk installed and to optimise the UppTalk service experience.

4. Your duties

4.1 You will use the UppTalk service exclusively for private purposes. You are prohibited in particular from integrating the UppTalk service fully or partially into own or other offers, or from using the UppTalk service commercially for personal or third party purposes.

4.2 You undertake furthermore to refrain from any abuse of the UppTalk service. In particular but without limitation, you undertake to refrain from

a) circumventing UppTalk security precautions and/or
b) using facilities or performing applications which result or could result in damage and/or functional failure of the UppTalk service, and/or
c) using the UppTalk service for the use of diallers, PIN calls, spamming and/or the provision of added-value or premium services and/ or
d) using the UppTalk service in an abusive way; such usage is especially reached as soon as you increase a volume of 1000 Min/SMS per week and/or

e) using the Service above the common practice and / or above a fair usage or against good morals and/or

f) Committing fraud or using the Service in a way that it might be reasonable to consider so as a sign of fraud.

g) use the Service to upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation, except in those areas that are designated for such purpose.

In case of abuse according to art. 4.1 or 4.2 or 4.3 of these T&C, UppTalk is entitled to reduce the usage or to exclude you from further usage of the UppTalk service and / or even terminate this contract.

4.3 Finally, you undertake not to make unlawful use of the UppTalk service and, in particular, to ensure that the contents of his communication do not violate applicable law, statutory and official prohibitions or good morals or any third party rights. You guarantee in particular that you will not disseminate any discriminating and/or pornographic and/or extremist content within the scope of the UppTalk service.

4.4 In the event of claims by third parties against UppTalk as a result of violation of your obligations, in particular as a result of unlawful, illegal or fraudulent use of the UppTalk service or against these T&C, you undertake to indemnify UppTalk against these claims at the first request. The indemnification also includes any costs of legal pursuit incurred by UppTalk as a result.

5. Utilisation period, ending of use

5.1 You can use the UppTalk Service for an indefinite period. You are entitled to end the use at any time without adhering to a period of notice.

5.2 The right of either party to immediate termination for important cause shall remain unaffected. An important cause shall be given for UppTalk in particular if

a) you make unlawful use of the UppTalk service, in particular use in contravention of legal provisions, other legal regulations or in violation of good morals, in the event of a strong suspicion of such, or due to an infringement of point 4.2 and/or in general you do not comply with any provision of these T&C, and/or

b) you use the UppTalk service for purposes other than private purposes, and/or

c) UppTalk license if applicable is revoke, and/or

d) the business of UppTalk is discontinued, it is not profitable or UppTalk is in bankruptcy procedures, and/or

In case of termination you will lose your virtual credit with no possibility of reimbursement.

6. Liability of UppTalk

6.1 UppTalk does not monitor nor control and therefore it has not knowledge of the contents that are distributed through the App by the users of UppTalk. People generating and sending such contents are fully and exclusively responsible. Likewise, be informed that you might be exposed to content that is offensive, illegal, obscene, harmful, unacceptable or not suitable for the children content.

6.2 UppTalk shall be liable for damage caused intentionally or through gross negligence. UppTalk shall likewise be liable for damage resulting from culpable injury to life, limb and/or health.

6.3 Specially given the Service is provided for free, if the preconditions set out in point 6.2 of these T&C are not given, UppTalk shall only be liable in the event of culpable violation of a fundamental contractual obligation (“cardinal obligation”), irrespective of the legal grounds. In such cases, the liability of UppTalk shall be limited to the contractually typical, foreseeable and proved damage. Cardinal obligations are obligations whose fulfilment makes correct execution of the contract possible in the first place, and in adherence to which you can normally trust. As such, these are obligations whose violation would endanger achievement of the purpose of the contract. The contractually typical, foreseeable damage is a maximum of € 5000 save as stated in case law or in any other law or statutory regulation.

6.4 In other respects, liability is excluded as far as allowed by applicable Law. In particular, UppTalk shall not be liable either for the defective provision of advance performances by third parties as per point 2.6 of these T&C and for any consequences of not enabling emergency calls.

6.5 In no event shall UppTalk be liable for any special, consequential, indirect, incidental damage or any loss of revenue, profit or opportunity.

6.6 If liability is excluded or limited, this shall also apply for the personal liability of the legal representatives, senior managers or other vicarious agents of UppTalk.

6.7 Some jurisdictions do not allow the liability limitations and disclaimers stated in this clause. Therefore some of them might not be applicable to you. If that is the case the liability of UppTalk shall be limited as further as legally possible.

7. Protected privileges, data protection

7.1 All brands, industrial property rights and/or logos of UppTalk and/or the UppTalk advertising partners, shown within the scope of the UppTalk service, are the property of the respective entitled party, even if they are not marked with corresponding protection references (i.e. Ò). Reproduction and/or other use of these brands, protected privileges and/or logos are not permitted without the consent of the respective entitled party.

7.2 Protection of user data and your privacy is of particular importance to UppTalk. As such, the rulings on data protection at UppTalk shall apply in extension; you likewise accept their application. See more about in our privacy policy.

8. – UppTalk Paid Services

yuilop S.L. or any of its subsidiaries as the case may be offers two payment options:

- Ad-free subscription to UppTalk

- Paid top-ups of Virtual Credits (allowing you to make calls and SMS out of the yuilop Community) remember that alternatively you can gain Virtual Credits for free by participating in the activities as described in point 2.4 of our terms and conditions.

Please take into account that we are currently rolling out the payment service so this feature might be not available for your device OS or in your country.

8.1 If you wish to use UppTalk Paid Services, you must agree to all the terms of this Section. All the other provisions of this Agreement also apply to UppTalk Paid Services.

8.2 Payments will be made exclusively in the manner(s) indicated by UppTalk from time to time, including through service providers separate from UppTalk. You need to agree to any specific terms presented at the moment of making a payment, including without limitation provisions relating to processing of personal data by that service provider which may differ from UppTalk’s policies and for which UppTalk is not responsible.

8.3 Please think twice before purchasing: all purchases are final and no refunds are available for payments made for UppTalk Paid Services that are made through third parties’ platforms. In the event that you believe you have been charged in error, you must contact UppTalk support within 14 days of such charge and submit evidence that you’ve been charged by error otherwise we have to rely on the information of our system and assume the purchase was righty and consciously performed. No refunds will be given for charges, which are more than 14 days old. If you have not used your credit for 180 days then it will automatically expire and you will lose it. UppTalk will try to send you a reminder before it expires. If your User Account expires or is terminated you will also lose any remaining credit in your User Account. Note that certain special promotions may be subject to shorter expiry dates within which you would need to use the relevant credit, so please read the applicable terms carefully at the time of purchase.

8.4 Charges for UppTalk Paid Services are subject to change. For UppTalkOut the applicable rates are those in effect at the time of using the service. Please always check the up to date charges at http://yuilop.com/rates/. Unless otherwise specified, rates include VAT, Calls are normally charged in thirty-seconds increments and will be rounded up to the nearest Euro cent or Dollar cent (or other applicable currency unit), except as set out on the current rates page from time to time.

8.5 If you encounter any problems related to payment, pricing or use of UppTalk Paid Services, please contact support@yuilop.com. Be aware that UppTalk does not provide support in all languages and English is the language generally used.

8.6 If the law of your country or location prohibits you from using the UppTalk Paid Services whether due to age restrictions, content laws or other legal restrictions, you must not use the UppTalk Paid Services and any payments that you make will not be refunded.

9. Concluding provisions

9.1 Should a provision of these T&C be or become invalid or inoperable, either in part or in full, the validity of the other provisions shall remain unaffected.

(“UppTalk” or “we” or “us” or “our” or other similar pronouns) offers users with mobile devices (“You”) calling and text messages services (“Services”) transacted through a licensed application (“Licensed Application”) for mobile devices. Our Licensed Application is licensed, not sold, to You for use only under the terms of this license. We reserve all rights not expressly granted to You

1. Scope of License

This license granted to You for our Licensed Application is limited to a non-transferable license to use the Licensed Application on any mobile device that You own or control and as permitted by the Usage Rules set forth in our Terms and Conditions (the “Usage Rules”). This license does not allow You to use the Licensed Application on any mobile device that You do not own or control, and You may not distribute or make the Licensed Application available over a network where it could be used by multiple mobile devices at the same time. You may not rent, lease, lend, sell, redistribute or sublicense the Licensed Application. You may not copy (except as expressly permitted by this license and the Usage Rules), decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof (except as and only to the extent any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by the licensing terms governing use of any open sourced components included with the Licensed Application). Any attempt to do so is a violation of our rights. If You breach this restriction, You may be subject to prosecution and damages. The terms of the license will govern any upgrades provided by us that replace and/or supplement our Services, unless such upgrade is accompanied by a separate license in which case the terms of that license will govern

2. Consent to Use of Data

You agree that we may collect and use technical data and related information, including but not limited to technical information about Your mobile device, system and application software, and peripherals, that is gathered periodically to facilitate the provision of software updates, product support and other services to You (if any) related to the Licensed Application. We may use this information, as long as it is in a form that does not personally identify You, to improve our Services offered to You (for further information on our privacy policy).

3. Termination

The license is effective until terminated by You or us. We will terminate your rights under this license without notice if You fail to comply with any term(s) of this license and / or the terms of use of the service. Upon termination of the license, You shall cease all use of the Licensed Application, and destroy all copies, full or partial, of the Licensed Application

4. NO WARRANTY

Specific terms and conditions of use of the second line service — United Kindom Top

    1. Interpretation
      1. The definitions in this clause apply in the terms and conditions set out in this document:
        • Agreement: the agreement between you and us for the Services and/or Equipment.
        • Acceptance of Offer: our email that we will send to you following your offer to purchase the Services and/or Equipment from us (as the case may be) accepting that offer.
        • Additional Charges: any charges for use of the Services (outside of any inclusive allowances included in your Package and the Monthly Subscription Charge) and for any Additional Services.
        • Additional Services: any additional or supplemental services that you order from [any restricted services] us from time to time including, but not limited to, directory enquiries, premium rate services, Age Restrictive Services and/or Materials.
        • Age Restriction Services: any services for use only by customers aged 18 years or over.
        • Connection: the procedure by which we give you access to Services. ‘Connected’, ‘Connecting’ and ‘re-Connection’ have corresponding meanings.
        • Customer Default: as defined in clause 7.5.
        • Disconnect: the procedure by which we stop your access to Services. ‘Disconnected’, ‘Disconnect’ and ‘Disconnecting’ have corresponding meanings.
        • Equipment: the equipment that we are selling to you as per your Order and any further equipment we sell to you pursuant to the Services.
        • Equipment Agreement: the parts of the Agreement relating to the provision of Equipment to you.
        • Force Majeure Event: shall have the meaning given in clause 15.
        • GMS Gateway: any gateway that enables telecommunications equipment to access other telecommunication networks other than such a gateway provided by us as part of the Services.
        • International Services: shall have the meaning given in clause 5.2.
        • Materials: the information, software, graphics, music, sound and other materials appearing or available through the Services whether owned by us or not.
        • Minimum Period: the minimum period of the Services Agreement as set out in clause 6.2(a).
        • Mobile Number: a number for you to use your mobile phone on our Network.
        • Monthly Subscription Charge: the monthly fixed charge payable by Post-Paying Customers for use of the Services (as may be varied from time to time pursuant to these Terms) but excluding the Additional Charges.
        • Network: our and our network provider’s telecommunication networks.
        • Order: your order for Equipment and/or Services (as the case may be) as set out in our Acceptance of Offer.
        • Package: the tariff package applicable to you as per your Order (as may be varied from time to time) in respect of the Services for which the Monthly Subscription Charge is payable. Details of our tariff packages are as set out on our Website http://www.greenfone.com.
        • Post-Paying Customer: a subscriber to the Services who is not a Pre-Paying Customer.
        • Pre-Paying Customer: a customer who uses the Services through purchasing and using prepaid minutes.
        • Services: the services being supplied by us to you as per your Order (as varied from time to time).
        • Services Agreement: the parts of the Agreement relating to the provision of Services to you.
        • SIM card: the subscriber identification module, which contains your mobile number, provided to you by us and which enables you to access the Services.
        • Terms: the terms and conditions set out in this document.
        • User Guide: our user guide (as amended by us from time to time) which is available on our Website http://www.greenfone.com
        • Website: our website http://www.greenfone.com
        • writing or written includes faxes and e-mail.
        • you: the individual, person, company or other body placing the Order.
        • we, us, our: Greenfone Limited (company number 06895016) which registered office is at 61 Station Road, Sudbury, Suffolk, United Kingdom, CO10 2SP.
      2. Headings do not affect the interpretation of these Terms.
      3. Any phrase introduced by these Terms including, include, in particular or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding those terms.

    2. Basis of Contract
      1. These Terms , the Acceptance of Offer and our tariff list set out the whole agreement between you and us in respect of your Order and apply to the exclusion of any other terms that you may seek to impose or incorporate, or which are implied by trade, custom, practice or course of dealing. No variation of these Terms or representations about your Order shall have effect unless confirmed by us in writing.
      2. In entering into a contract with us in respect of your Order, you acknowledge that you have not been induced by any representations orally or in writing made by us, our servants or agents.
      3. Any descriptive matter, specifications and advertising issued by us and any descriptions or illustrations contained in our brochures, catalogues or on our Website are only intended to give an approximate idea of the Equipment and/or Services that they describe and do not form part of the contract between us.
      4. Your Order is an offer by you to enter into a binding contract which we are free to accept or decline at our absolute discretion. No Order shall be deemed to be accepted by us until we have acknowledged and accepted your offer by sending you an Acceptance of Offer, or (if earlier) when delivery of the Equipment and/or performance of the Services (as may be applicable) takes place.
      5. All of these Terms shall apply to the supply of both the Equipment and Services (as relevant) except where application to one or the other is specified.

PART 1 Supply of Services Top

    1. The Service
      1. We shall provide the Services to you in accordance with these Terms. Additional Services promotions and special offers taken up by you may have additional terms that shall be treated as being incorporated into and forming part of these Terms. Any additional terms incorporated into these Terms pursuant to this clause 3.1 shall take precedence over the provisions set out in this document to the extent that there is any inconsistency between them.
      2. We warrant to you that the Services will be provided using reasonable care and skill as might be expected from a competent mobile telecommunications service provider. However:
        1. we cannot guarantee that the Services will be provided fault free and we do not accept any liability for any fault that may occur in respect of the Services except when that fault is caused by our negligence. A range of circumstances can impair the Services such as, but not limited to (1) geographical, atmospheric or other conditions, (2) heavy demand on the Network in your vicinity (3) the performance or upgrades or maintenance or other work on the Network or Services (4) interruptions to other network providers’ networks or (5) due to us or our network provider meeting regulatory requirements;
        2. the Services are provided with [our and our network providers] network areas, they are not available in all parts of the United Kingdom, in all other countries outside of the United Kingdom or, where available in such other countries, in all parts of those countries;
        3. when you are and our network providers areas not covered by our Networkin areas not covered by the Network, the Services will rely onmay be supplied through other network operators’. networks over whom we have no control inWe have no control over such other network operators and in such circumstances we and our network provider accept no liability for any fault with the Services except when caused by our negligence;
        4. we only agree to provide the Services to mobile phones which have been approved by us and are enabled for use with the Services or due to obligations to ** regulatory requirements interruptions to services from other network providers and which are enabled for the Services. Some mobile phones, that have not been approved by us, may be incompatible with the Services. Any attempt to use the SimSIM Card in any mobile phone not approved by us may result in serious damage to thethat mobile phone and my ** withmay prevent you from being able to use it, including the making of emergency calls. In these instances, we and our network provider are not responsible for any such damage or usage problems.
      3. We will provide you with a Mobile Number. This number is not your property. Your Mobile Number is transferable to another service provider provided that:
        1. your contract with us (in connection with your Mobile Number) has been terminated; and
        2. all amounts payable by you to us, whether pursuant to these Terms or otherwise, have been paid in full.
        3. In exceptional circumstances, a government authority may order the reallocation or change of phone numbers, in which case we may have to change your mobile number.
        4. Subject to the other terms of this clause 3.3, we will transfer your Mobile Number upon your written request and may charge you the reasonable costs incurred by us in doing so.
      4. We are not a party to, nor do we accept any liability in respect of, any agreement that you enter into with any third party for goods and/or services which in any way relate to or impact on the Services or Equipment. You enter into any such agreement(s) at your own risk.
      5. The SIM card that we provide to you as part of the Services is and remains either our property or the property of our network provider (as the case may be) at all times. You are being allowed to use the SIM Ccard on a limited licence to enable you to access our Services, in accordance with these Terms. We or our network provider (where it is the owner of the SIM Ccard) may recall itthe SIM card at any time for upgrades, modifications, or because of its misuse or because thise Agreement has been terminated., iIf recalled, the SIM Ccard must be returned within 14 days of any written request that you do so at [the resellersre-caller’s cost].
      6. The Services are provided for your personal use only and you must not do anything which is inconsistent with that.
      7. The provisions set out in part 1 (Supply of Services) of these Terms (except where expressly toldprovided otherwise) only apply to the Services and not to any EmploymentEquipment that we may be providing to you.

1. SERVICES – AREA WHERE WE HAVE NO RESPONSIBILITY Services – Areas where we have no Responsibility

1. We will try to ensure the accuracy, quality and timely delivery of Services. However:
1.1. we and our network operatorprovider accept no responsibility for any use of, or reliance on, the Services or their content, or for any disruptions to, or any failures or delays in, Services. This includes, without limitation, any alert Sservices or virus detection services; and
1.2. subject to Section 12.3 wWe and our network operatorprovider do not make any representations as to the accuracy, comprehensiveness, completeness, quality, currency, error-free nature, compatibility, security or fitness for purpose of Services or their content. They are provided to you on an ‘as is’ basis; and
1.3. we and our network operatorprovider are not providing you with advice of any kind (including without limitation investment or medical advice). Where Services contain investment information, we do not make invitations or offer inducements to enter into any investment agreements.

2. We and our network operatorprovider will not be liable;
2.1. for any loss you may incur as a result of someone using your PINspersonal identification number or passwords with, or without, your knowledge; or .
2.2. if we or they cannot carry out our duties, or provide Services, because of something beyond our control.
Others’ content and services – Areas where we have no responsibility.
2.3. You may be able to use Services:
2.3.1. to upload, email or transmit content using the Services; and
2.3.2. to access content which is branded or provided by others and to acquire goods and services from others. Where we provide you with such access, all we do is transmit the content to you and we do not prepare or exercise control over the content, goods or services. We and our network operatorprovider are not responsible or liable in any way for, and do not endorse, any of this content, goods or services.

3. This Section 13 clause 4 will apply even after this agreement has ended.

4. Additional Services and International Services

1. We may provide you with Additional Services from time to time but are not obliged to do so. We reserve the right to add to, amend, discontinue and or otherwise make changes to any Additional Services that we are providing to you at any time at our absolute discretion. We shall notify you of any such changes before they become effective usually by email or text.
2. Your use of our Network includes the right to make international calls and to use our international roaming service (“International Services”). When you use our Services in a country outside of the United Kingdom, your use of the Services may be subject to laws and regulations in thatthose other country,. wWe and our network provider are not liable for any failure to comply with those laws or regulations.
3. The normal applicable charges for our Services may be increased when using our Services abroad due to charges made by other network providers facilitating the provision of our Services abroad. For example, you will be charged for incoming calls (including receiving texts and voicemail messages) and other data usage unless otherwise agreed in writing by us. Please note that billing you for the International Services used by you can be delayed and may not appear in your next month’s bill statement.
4. The Services provided by us may grant you access to Materials. We may vary the technical specifications of the Services and/or your access to and the contents of any Materials at any time.
5. Agreement for the Services
1. The Services Agreement shall commence from when we despatch a SIM card to you for you to use in respect of the Services. Once you are Connected, we will provide you with access to the Services subject to these Terms.
2. Subject to clause 6.3 and 16, the Services Agreement shall continue:
2.a. in the case of Post-Paying Customers for a minimum period of either 12 months or 24 months as set out in our Acceptance of Offer (“Minimum Period”). Thereafter, the Services Agreement shall continue until terminated by you giving us at least 30 days prior written notice of your wish to terminate the Services Agreement; or
2.b. in the case of Pre-Paying Customers, until terminated by you giving us at least 30 days prior written notice.
3. We reserve the right to terminate the Services Agreement at any time by providing you with at least 30 days prior written notice.
4. If you wish to upgrade your Equipment during the term of the Services Agreement or enter into a new Service Agreement then we reserve the right to increase or introduce a new Minimum Period where you are, or are to become, a Post-Paying Customer.
6. Your Use of the Services
1. You must not:
1.a. use, or allow to be used, the Services or anything provided to you in connection with the Services (including, but not limited to, the Materials and Equipment):
1.a.i. in a way that might damage our reputation or business;
1.a.ii. in a way that might infringe any other person’s proprietary or intellectual property rights or any other rights that such other person may have;
1.a.iii. fraudulently, in connection with a criminal offence or in breach of any law or statutory duty;
1.a.iv. in a way that might be offensive, abusive, indecent, defamatory, obscene, menacing or cause a nuisance and which is in breach of any other person’s privacy or is unlawful;
1.a.v. to copy, share, modify, publish or distribute the Services or Materials (including ringtones), except where we give you permission;
1.a.vi. in any way which breaks any security or other safe guards or in any other way which harms or interferes with ourthe Network, the Services or **our systems or those of any other;
1.a.vii. to falsify or delete any author attributions, legal or other proper notices or proprietary designation or labels of the origin or source of software or other content contained in a file that you upload;
1.a.viii. to use or provide to others any directory or details about our or our network provider’s customers;
3.1. all rights, including copyright in Services and their content, belong to us, our network provider, or our licensed source, such as a content provider. We and they reserve all our and their rights;
3.2. The ‘3’ trade mark and other related images, logos and names on the Services are proprietary marks of the Hutchison Whampoa group of companies. We and they reserve all our and their rights;

1.a.ix.
1.a.x. in a way that causes any inconvenience, annoyance or needless anxiety as per the Communications Act 2003; or
1.a.xi. in a way that places unnecessarily or needlessly strain on the Network and which is inconsistent with your obligations of good faith towards us,
1.b. establish, install or use a GMS Gateway without our prior written consent;
1.c. copy, duplicate, distribute, modify, reproduce, store, transmit the Materials or otherwise use the Materials or Services except as authorised by us;
1.d. allow anyone under the age of 18 to access Age Restricted Services using the Services nor provide or show any content obtained from Age Restricted Services to someone under the age of 18. You must deactivate any access to Age Restricted Services before you let anyone under the age of 18 use your mobile phone; or .
1.e. the SIM Card is only used to access the Services as permitted by these Terms.
2. You must:
2.a. only use the Services in accordance with these Terms and for your own personal use. You must not resell or commercially exploit any of the Services or Materials;
2.b. co-operate with us in all matters relating to the Services and act in good faith towards us;
2.c. provide us with such information as we may reasonably require to supply the Services, and ensure that such information is accurate and complete in all material respects;
2.d. use any Equipment, the SIM card and the Services in the way described in the User Guide, in accordance with any other reasonable instructions notified to you by us from time to time and otherwise in a reasonable and responsible manner including in compliance with any relevant legislation;
2.e. only use equipment and software approved by us when using the Services;
2.f. take reasonable steps to prevent the unauthorised use of, theft of or damage to the SIM card and Equipment (including keeping secure your personal identification number (PIN) and passwords and to notify us of any such event by emailing hello@greenfone.com as soon as possible;
2.g. notify us, as soon as possible and in reasonable detail, of any dispute or potential dispute with any third party that you may become aware of in respect of your use of the Services and/or Equipment. You must confirm any details that you provide to us pursuant to this clause 7.2 (g) in writing within 7 days of us requesting that you do so; and
2.h. co-operate with any security checks that we may carry out in respect of the Services or Equipment.
3. Before we provide you with the Services:
3.a. you must provide us with an email address for billing purposes;
3.b. if you are to receive any Equipment and/or a SIM card, provide us with a delivery address; and
3.c. if you are a Post-Paying Customer, submit to a credit check search (we reserve the right to refuse to provide you with the Services and terminate this Agreement with you with immediate effect and without liability to you should the results of the credit check search, in our reasonable opinion, fail to meet our requirements).
Thereafter you must maintain and keep us informed of your nominated billing email address and any change to it (this can be done on our Website http://www.greenfone.com). We accept no liability for errors in receiving emails from or sending emails to your nominated email address (including any email being designated as “junk mail” by any email account) except to the extent that we are negligent.
4. You are responsible for checking the accuracy and completeness of the Materials provided to you as part of the Services.
5. If the performance of any of our obligations in respect of the Services is prevented or delayed by any act or omission by you or failure by you to perform any relevant obligation (“Customer Default”):
5.a. we shall without limiting our other rights or remedies have the right to suspend performance of the Services until the Customer Default is remedied, and to rely on the Customer Default to relieve us from the performance of any of our obligations to the extent that the Customer Default prevents or delays our performance of any such obligations;
5.b. we shall not be liable for any costs or losses sustained or incurred by you or anyone else arising directly or indirectly from our failure or delay to perform any of our obligations as set out in this clause 7.5; and
5.c. you shall reimburse us on written demand for any costs or losses sustained or incurred by us arising directly or indirectly from the Customer Default on a full indemnity basis.
6. You will be able to upload and send your own contractcontent using the Services. You grant us and our network provider a royalty free, perpetual, irrevocable and worldwide licence to store, transmit or otherwise deal with any content you upload onthrough the Services.
7. Changes, suspensions and bans
1. We reserve the right at our absolute discretion to:
1.a. change (1) the SIM card associated with the Services, (2) change the Mobile Number or any other code or number relating to the Services, (3) the Materials, and/or (4) the Additional Services;
1.b. temporarily suspend the Services (or any part of the Services). If we suspend any of your Services, you will still be able to make emergency calls (unless they have been suspended at the request of the emergency services); and
1.c. bar certain numbers or Equipment on a temporary or permanent basis.
2. It is envisaged that such changes, suspensions or bans, as set out in clause 8.1, will likely arise for one or more of the following reasons although that may not always be the case:
2.a. for the purposes of complying with any legal or regulatory requirements;
2.b. to prevent fraud or some other crime;
2.c. to improve the Services,
2.d. to deal with any potential or actual breach of your or our security;
2.e. to prevent us suffering a direct loss;
2.f. to prevent abuse of the Services; or
2.g. to deal with an emergency.
3. We may:
3.a. change or withdraw some, or part, of the Services from time to time. This may be because of (1) changing technologies, (2) obsolescence, (3) new or different product features or regulatory requirements, (4) changing content providers or (5) the need to remove, replace or modify the contentMaterials;
3.b. also determine how the Services are presented and delivered to your mobile phone or are otherwise made available to you. We can change the way that they are presented, delivered or otherwise made available to you at any time; orand
3.c. review information held on the SIM card (such as updating or checking security information) from time to time as part of providing the Services.
4. We reserve the right at any time and without notice to bar your SIM card (either temporarily or permanently) to disconnect your SIM card from the Network thereby preventing you from making calls other than to the emergency services, texting or otherwise using some or all of the Services:
4.a. if you breach your obligations under clause 3.5, clause 7.1, clause 7.2 or clause 13.7;
4.b. any of the Equipment or the SIM card is reported stolen or missing or we reasonably believe such to be the case;
4.c. if we reasonably believe that there may be fraudulent or illegal use of your SIM card, the Services or Mobile Number or if we reasonably believe that there may be fraudulent or illegal payments being made to us in respect of the Services;
4.d. we reasonably believe you have provided false or misleading details about yourself;
4.e. if you are (or anyone else on your behalf is) abusive, threatening, persistently a nuisance or otherwise acts inappropriately or illegally towards any of our staff, agents or contractors; or
4.f. you do anything else that we reasonably believe might adversely impact our business or the services that we provide to other customers.
5. We can require you to pay a reasonable reconnection fee and otherwise introduce further conditions in respect of your use of the Services should we agree to unbar/reconnect your SIM card following us exercising our rights under clause 8.4.
6. During any period that you are barred from the Services, you shall still be obliged to make payments to us in accordance with clause 13 until the Agreement is terminated in accordance with these Terms.
PART 2 Equipment
8. The Order and Delivery
1. A description of the Equipment can be found on our Website http://www.greenfone.com. Any relevant charges payable by you for the Equipment are set out on our Website http://www.greenfone.com and will be confirmed in the Acceptance of Offer. You will pay for the Equipment in accordance with the requirements set out in the Acceptance of Offer. This will usually be either payment being made prior to despatch or payment being included as part of your first bill.
2. Unless otherwise specified in the Acceptance of Offer, the Equipment will be delivered to you to the address that you have given us for delivery at our risk and cost. Equipment should normally be delivered to you within 7 working days of you placing your Order with us however the Equipment may be delivered after this date and time of delivery is not of the essence. Our liability for failure to deliver the Equipment (whether caused by our negligence or not) shall be limited to:
2.a. in the case of Equipment provided to you on an “equipment only basis” either, at our option, delivering suitable replacement equipment to you or refunding you with the price paid for the Equipment;
2.b. in the case of Equipment provided to you as part of the Services either, at our option, delivering suitable replacement equipment to you or refunding the Monthly Subscription Charge(s) due from you under this Agreement together with any amount that you may have paid towards the Equipment.
3. The Equipment is your responsibility once it has been delivered to you. If you return the Equipment to us pursuant to these Terms prior to ownership of it passing to you, and that Equipment is damaged (other than for fair wear and tear) or has been altered or modified, we will be entitled to charge you a reasonable amount to cover the cost of repairing or replacing the Equipment (as appropriate).
4. We shall have no liability for any delay or failure to deliver the Equipment to the extent that such delay or failure is caused by a Force Majeure Event or your failure to provide us with adequate delivery instructions or any relevant instruction related to the supply of the Equipment.
5. If you fail to accept the Equipment on delivery, then except where such failure or delay is caused by a Force Majeure Event or by our failure to comply with our obligations under these Terms then we shall store the Equipment until, subject to clause 9.6, you collect the Equipment from us, and charge you for all related costs and expenses (including insurance) of doing so. In the case of the Equipment being provided as part of the Services, you will still be liable to pay any costs incurred by you pursuant to this Agreement in respect of the Services (such as the Monthly Subscription Charge) even though you are not in possession of the Equipment.
6. In the case of Equipment provided to you on an “equipment only basis”, if 14 days after you failed to accept delivery of the Equipment, you have not accepted or taken delivery of it, we may resell or otherwise dispose of part or all of the Equipment and, after deducting reasonable storage and selling costs, account to you for any excess over the price of the Equipment or charge you for any shortfall below the price of the Equipment.
7. You are not entitled to accept delivery of only part of the Equipment that you have ordered from us.
9. Quality of Equipment
1. If you are a consumer, we warrant that on delivery, and for a period of 12 months from the date of delivery (Warranty Period), the Equipment shall, subject to any qualification or representation given by us to you in respect of the quality, nature and/or suitability of the Equipment:
1.a. conform in all material respects with their description;
1.b. be free from material defects in design, material and workmanship;
1.c. be of satisfactory quality (within the meaning of the Sale of Goods Act 1979); and
1.d. be fit for the purpose set out in our Acceptance of Offer.
2. If you are business, our warranty in respect of any particular Equipment shall be the same as the manufactures warranty relating to that Equipment.
3. We shall not be liable for the Equipment’s failure to comply with the warranty in clauses 10.1 or 10.2 (as may be applicable) if (1) you make any further use of such Equipment after giving notice in accordance with clause 11.1(a) or notified us of a Fault in the case of clause 11.2 (2) the defect arises because you failed to follow our oral or written instructions as to the use or maintenance of the Equipment (3) you alter or repair such Equipment without our written consent and/or (4) the defect arises as a result of fair wear and tear, wilful damage, negligence, or abnormal working conditions.
4. Except as provided in this clause 10, we shall have no liability to you in respect of any Equipment’s failure to comply with the warranties set out in clause 10.1 and 10.2 and your legal rights are excluded in so far as it is permissible by law.
10. Defective Equipment and returns
1. If you are a business customer:
1.a. in the unlikely event that the Equipment does not conform with these Terms (“Fault”), you must notify us of the Fault in writing no later than 5 working days after delivery of the Equipment or, where the Fault is a latent defect, discovery of the Fault (whichever is later). Where you have given notice to us of a Fault (setting out in reasonable detail the Fault, which Equipment is affected and when the Equipment was delivered), we may require you to return the Equipment to us to be checked, at your cost and, if so, you must return the Faulty Equipment to us in accordance with our returns policy in force at the time that the Equipment is to be returned to us. Once the Equipment has been checked to our satisfaction, and should the reported Fault be substantiated, then we will at our discretion, either (1) provide you with a full or partial refund (2) replace the Equipment in question or (3) repair the Equipment in question.
1.b. it is your responsibility to check the Equipment on delivery to ensure that the correct Equipment has been delivered and that there are no Faults with the Equipment. Other than as set out in clause 11.1(a) and subject to clause 14.4, we shall not be liable for any Fault. In all cases, taking delivery of the Equipment shall be deemed to be unconditional acceptance of the Equipment by you and that the correct Equipment has been delivered without any obvious damage or defect.
2. If you are a consumer, in the unlikely event that the Equipment is Faulty, please let us know as soon as possible after delivery. We may ask you to return the Equipment to us in accordance with our returns policy, in force at the time the Equipment is to be returned to us, at your cost to be checked. Should the Equipment subsequently be found to be Faulty, we shall refund to you the reasonable cost of returning the Equipment to us pursuant to this clause 11.2 subject to you providing us with a receipt showing the costs incurred by you in returning that Equipment to us. Once the Equipment has been checked to our satisfaction, and should the reported Fault be substantiated, then we will at our discretion, either (1) provide you with a full or partial refund (2) replace the Equipment in question or (3) repair the Equipment in question.
3. These Terms will apply to any repaired or replacement Equipment that we supply to you.
11. Title and risk
1. The risk in the Equipment shall pass to you on delivery or, if you wrongfully fail to take delivery, at the time delivery should have taken place. Ownership to the Equipment shall not pass to you until you have we have received payment in full (in cash or cleared funds) for the Equipment and any other equipment that we have supplied (or are due to supply) to you.
2. Until ownership of the Equipment has passed to you, you shall (1) hold the Equipment on a fiduciary basis as our bailee (2) store the Equipment separately from all other similar equipment held by you so that they remain readily identifiable as our property (3) not remove, deface or obscure any identifying mark relating to the Equipment (4) maintain the Equipment and any packaging in satisfactory condition (5) notify us immediately if you become subject to any of the events listed in clause 16.1(c) (6) give us such information relating to the Equipment as we may require from time to time (7) not pledge or in any way charge by way of security or otherwise encumber any of the Equipment and (8) keep the Equipment insured against all risks for its full price on our behalf from the date of delivery, but you may use the Equipment in a proper fashion in accordance with any instructions that we have given to you.
3. If, before ownership of the Equipment passes to you, you become subject to any of the events listed in clause 16.1(c), or we reasonably believe that any such event is about to happen and we notify you accordingly, then we may at any time require you to deliver up the Equipment and, if you fail to do so promptly, enter any of your premises or that of any third party where the Equipment is stored in order to recover it.
4. In addition to clause 12.3, you grant to us, our agents and employees, an irrevocable licence at any time to enter any premises where Equipment is or may be stored in order to inspect it, or, where your right to possession of the Equipment has terminated, to recover it.
5. Any mobile phones provided to you as part of the Services may be locked exclusively to our Network and therefore be unusable for use with any other network. Some, but not all, locked mobile phones can be unlocked to allow use with other networks. We are not obliged to grant you an unlocking code in respect of any mobile phone.
PART 3 GENERAL PROVISIONS
12. Price and payment
1. The price of the Services and/or Equipment will be as set out in our tariff list (which is published on our Website) in force at the time we accept your Order and which will be confirmed in our Acceptance of Offer. We may increase/decrease the price for the Services from time to time by giving you at least 30 days prior written notice of such changes.
2. You are liable for all charges in respect of the Services, whether such charges are incurred by you or someone else using your SIM card with or without your knowledge.
3. Subject to clause 13.6, if you are a Post-Paying Customer and we increase your Monthly Subscription Charge (excluding any goodwill or other credits that might have been applied to that charge):
3.a. by more than 15% in any given year of the Service Agreement; or
3.b. by more than the Retail Price Index inflation rate at the date upon which we notify you of the applicable price increase,
you shall have the right at any time prior to that increase coming into effect, to cancel the Services Agreement by proving us with 15 days prior written notice (irrespective of any Minimum Period applying to the Services). Should you terminate the Service Agreement pursuant to this clause 13.3, the Monthly Subscription Charge payable by you for the Services shall remain as that payable by you immediately prior to the said price increase taking effect and shall be payable up until termination of the Services Agreement takes place pursuant to your notice. If you fail to serve notice pursuant to this clause 13.3 within the 15 day period referred to above, you will be deemed to have accepted the increase to the Monthly Subscription Charge.
4. Subject to clause 13.6, we agree not to increase your Monthly Subscription Charge more than once in any 12 month period.
5. Subject to clause 13.6, we reserve the right to increase the charges for Additional Services at any time and by any amount on providing you with at least 30 days prior written notice. If you do not wish to accept the increase in charges for the Additional Services, you may terminate the relevant Additional Services to which the charge increases are made by giving 15 days written notice to us. Such notice must be served prior to relevant increase in the charges for Additional Services taking effect. If you fail to serve notice pursuant to this clause 13.5 within the 15 day period referred to above, you will be deemed to have accepted the increase to the charges for Additional Services. You will be liable to pay the increased Additional Services charges, once those increases become effective, until the Additional Services are cancelled by you pursuant to this Agreement.
6. Clauses 13.3, 13.4 and 13.5 shall not apply where the increase in the amounts payable by you for the Services is the result of a requirement by the government or a competent regulatory body (“Legal Requirements”). This includes, but is not limited to, any increase in VAT or any other tax or the imposition of any new tax. In such instances we may increase the charges payable by you to the extent necessary to meet the Legal Requirements.
7. Where you are a Post-Paying Customer, you must pay your monthly bill by the date for payment stated in the relevant bill. If you are a Pre-Paying Customer, you must pay for the relevant Services prior to them being used by you by acquiring pre-paid minutes. If you fail to make any payments within the due date set out in this clause 13.7 then we may charge interest at the rate of 4% above the base rate of HSBC Bank plc per annum on the amount overdue. Such interest shall accrue on a daily basis from the first day that payment is overdue until the payment is made by you. If you make any partial payment of the overdue amount, we reserve the right to first apply such payment to paying off any interest due on the overdue amount rather than the overdue amount itself.
8. In the case of Post-Paying Customers, unless otherwise agreed by us in writing, payments due from you to us must be made through a monthly direct debit payment. If paying by direct debit, please note that Greenfone Limited has appointed the BACS Approved Direct Debit Bureau, Eazy Collect Services Limited (www.eazycollect.co.uk), to collect your payments. Greenfone Ltd will be shown on your bank statement for your direct debit payments. We reserve the right to charge you an additional administration charge should we agree to you paying by some other means. Pre-Paying Customers will only be credited with pre-paid minutes once the relevant payment for them has been received by us in cleared funds (whether by credit/debit card, cheque or some other means). Pre-paid minutes will only be valid for 30 days from the date of purchase. You will lose the right to use any unused minutes after this time period has expired and shall not be entitled to a refund in respect of any such unused minutes.
9. Any payments due from you in respect of the Services must be paid into our nominated bank account notified to you from time to time. Our nominated account details are available from our help desk and in the case of a Post-Paying Customer, also appear on each monthly bill.
10. In respect of call charges:
10.a. call charge rates that are dependent on the time of the day that they are made will be charged at the call charge rate applicable at the time that the call starts;
10.b. call charge rates are stated to be by the minute but are chargeable by the second;
10.c. each call charge is calculated (excluding any applicable VAT) in pounds sterling to the nearest 3 decimal places and then aggregated with all the other call charges payable by you in the relevant period being calculated. The aggregate call charge for the relevant period will be rounded up to the nearest pence;
10.d. VAT is only added to the bill (where relevant) when all charges for the Services have been aggregated; and
10.e. if it has been agreed that you will pay a minimum call charge fee and the call charge fee for the relevant period is less than that minimum, you agree to pay the amount of the minimum call charge fee.
11. Any VAT payable by you will be charged at the prevailing rate at the time that the bill is prepared and will be rounded down to the nearest penny.
13. Limitation of liability
1. Subject to clauses 14.2 and 14.3, if we fail to comply with these Terms:
1.a. if you are a business customer, we shall not be responsible for any losses that you suffer as a result, except for those losses which are a foreseeable consequence of our failure to comply with these Terms; and
1.b. if you are a consumer, neither of us shall be responsible for any losses that the other suffers as a result, except for those losses which are a foreseeable consequence of your or our failure to comply with these Terms (as the case may be).
2. Subject to clause 14.3,
2.a. if you are a business customer, we shall not be responsible for losses that result from our failure to comply with these Terms; or
2.b. if you are a consumer, neither of us shall be responsible for losses that result from a failure to comply with these Terms which fall into the following categories: (1) loss of income or revenue, (2) loss of profit, (3) loss of business, (4) loss of anticipated savings, (5) loss of data or (6) any waste of time,
and in the case of a consumer, nothing in this clause 14.2 shall prevent claims for foreseeable loss of, or damage to, your physical property.
3. We have no liability for the deletion, loss or corruption of any Materials transmitted or maintained by our Network except to the extent that we are negligent.
4. Nothing in these Terms excludes or limits in any way our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, any breach of the obligations implied by section 12 of the Sale of Equipment Act 1979 or section 2 of the Supply of Goods and Services Act 1982 or any other matter for which it would be illegal or unlawful for us to exclude or attempt to exclude our liability. If you are a consumer, the terms of this aAgreement will not affect any of your statutory rights which you have, which cannot be excluded by this aAgreement. For more information on your statutory rights, contact your local authority Trading Standards Department or Citizen’s Advice Bureau.
5. Our and our network provider’s entire liability under or in connection with this Agreement shall not exceed the price paid by you for the Equipment where our agreement is on an “equipment only basis” and where you have a Services Agreement with us £3,000 for one claim or a series of related claims.
6. Insofar as is permissible by law only those terms, conditions and warranties expressly set out or referred to in this Agreement shall apply to the Agreement.
14. Events outside our control
1. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by events outside our reasonable control (Force Majeure Event).
2. A Force Majeure Event includes any act, event, non-occurrence, omission or accident beyond our reasonable control and includes, in particular (without limitation), the following:
2.a. acts of God, explosion, flood, tempest, storm, fire, earthquake, subsidence, pandemic, epidemic or other natural disaster;
2.b. civil commotion, insurrection, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, sabotage;
2.c. acts, restrictions, regulations, by-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority;
2.d. import or export regulations or embargoes;
2.e. strikes, lock-outs or other industrial actions or trade disputes (whether involving our employees or of a third party);
2.f. difficulties in obtaining raw materials, labour, fuel, parts or machinery;
2.g. power failure or breakdown in machinery;
2.h. impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport; or
2.i. impossibility of the use of public or private telecommunications networks.
3. Our obligations under these Terms are suspended for the period that the Force Majeure Event continues, and we will have an extension of time to perform our obligations under these Terms for the duration of that period. We will take reasonable steps to bring the Force Majeure Event to a close or to find a solution by which our obligations under these Terms can be performed despite the Force Majeure Event.
15. Terminating the Agreement
1. In addition to any other rights that we may have pursuant to these Terms, we may terminate the Agreement with immediate effect if:
1.a. you do not make the payments as they fall due in accordance with clause 13.7;
1.b. you breach these Terms in a material way and, where the breach is remediable, do not remedy the breach within 7 days of us asking you to do so;
1.c. you become unable to pay your debts when they fall due or proceedings are commenced by or against you alleging that you are bankrupt or insolvent; or
1.d. you become deceased;
1.e. we reasonably expect that any of the events set out in clauses 16.1(a) to 16.1(c) above are likely to occur.
2. wWe may terminate this Agreement if there is no network access or Servicesincluding, but not limited to, being unable to access or no longer have access to other network operators’ networks (which is needed to provide the Services), or we are no longer able to provide the Services *** by and ourfor reasons outside of our control or because we cease to carry on our business.
3. You may terminate the Services Agreement by giving us at least 30 days prior written notice. Subject to clause 16.4, if you do so during the Minimum Period, in addition to the payments due from you up to termination, you must pay us not less than the Monthly Subscription Charges and any charges for Additional Services which would have been payable by you from the termination date to the end of the Minimum Period had you not terminated the agreement in one lump sum within 30 days of the termination being effective. We may reduce the amount payable under this clause 16.3 at our discretion and details of the actual payment we will require you to make can be obtained by contacting our customer services department via email to hello@greenfone.com by calling 0844 556 2600.
4. You may terminate this Agreement at any time upon giving notice to us and without penalty should we:
4.a. breach this Agreement in a material way and, where the breach is remediable, we do not remedy the breach within 7 days of you asking us to do so;
4.b. we go into liquidation or an administrator or receiver is appointed over our business; or
4.c. we change the terms of the Agreement to your significant disadvantage providing that you do not affirm or otherwise agree to such changes or are deemed to have done any of the same and such changes (by, for example, continuing to use the Services) and any such changes:
4.c.i. are not due to changes to the law, government, regulation or licence which affects us; or
4.c.ii. do not solely relate to Additional Services.
4. If you are a consumer, any statutory rights which you may have, which cannot be excluded or limited, will not be affected by this sectionclause 16. For more information on your statutory rights, contact your local authority Trading Standards Department or Citizen’s Advice Bureau.
5. If this aAgreement ends, we will Disconnect you and you will not be able to use the Services or make emergency calls.

16. cancelling ORDERS (Consumers Only)
1. Where you are buying Equipment and/or Services as a consumer, within the meaning of the Consumer Protection (Distance Selling) Regulations 2000 (as amended) you shall, subject to clause 17.3 be entitled (by notice in writing to us) to cancel this Agreement within 8 working days of receiving the Equipment or, in the case of Services, 8 working days of entering into the contract with us for the supply of the Services (the “Cooling Off Period”). Following such cancellation and subject to the return of the Equipment to us (if any), and subject to clause 17.3, we will refund all amounts paid by you to us for the purchase of the Equipment from us.
2. We reserve the right to deduct from such refund referred to in clause 17.1, any amounts owed by you to us, including any charges for your use of the Services during the Cooling-Off Period and any costs of collecting the Equipment from you (if relevant).
3. In order to cancel this Agreement pursuant to clause 17.1 you must return all the Equipment undamaged, in its original packaging with proof of purchase in accordance with our returns policy available on our web site http://www.greenfone.com. Provided that you return the Equipment to us in accordance with this clause 17.3, then we shall pay the reasonable postage costs of returning the Equipment to us.
4. If you fail to return the Equipment in accordance with our returns policy we may arrange to collect the Equipment from you and shall be entitled to deduct from the amounts due to you following such cancellation, a reasonable amount representing the costs of us collecting the Equipment from you.
5. You may use the Equipment and Services during the Cooling Off Period. If you do so, you will be liable to pay for the Services used by you, including a pro rata proportion of the Monthly Subscription Charge (if relevant) for each day the you use the Services.
6. Nothing in this clause 17 affects any of your statutory rights.
17. Miscellaneous provisions
1. We may make reasonable changes to the terms of our Agreement from time to time. These changes might be made to reflect such things as, but not limited to, changes in market conditions affecting our business, changes in technology, changes in payment methods, changes in relevant laws and regulatory requirements or changes in our system capabilities. All changes will be posted on our Website. It is your responsibility to check for any changes on a regular basis. If we consider, in our reasonable opinion, that any changes to our Agreement that we propose to make are significantly to your disadvantage, we will give you 30 days prior written notice of such changes. For the purposes of this clause 18.1, we may send such notices to you by text to your Mobile Number. You may not make changes to this Agreement without our prior written consent.
5.1. All rights, including copyright in the Services and Materials and their content, belong to us, our network provider, or our licensed source, such as a content provider. We and they reserve all our and their rights.
5.2. [The ‘3’ trade mark and other related images, logos and names on the Services are proprietary marks of the Hutchison Whampoa group of companies. We and they reserve all our and their rights.]

2. You may not transfer any of your rights or obligations under these Terms to another person without our prior written consent. We can transfer all or any of our rights and obligations under these Terms to another organisation, but this will not affect your rights under these Terms.
3. All notices sent by you to us pursuant to these Terms must be sent to us at Greenfone Limited, Active Business Centre, Bury St Edmunds, Suffolk, IP33 3PH, UK. We may give notice to you at the email address that you provide to us for this purpose.
4. If any court or competent authority decides that any of the provisions of these Terms are invalid, unlawful or unenforceable to any extent, the term will, to that extent only, be severed from the remaining terms, which will continue to be valid to the fullest extent permitted by law.
5. You shall not be entitled to set off any amounts that we owe to you against amounts you owe to us.
6. If we fail, at any time while these Terms are in force, to insist that you perform any of your obligations under these Terms, or if we do not exercise any of our rights or remedies under these Terms, that will not mean that we have waived such rights or remedies and will not mean that you do not have to comply with those obligations. If we do waive a default by you, that will not mean that we will automatically waive any subsequent default by you. No waiver by us of any of these Terms shall be effective unless we expressly say that it is a waiver and we tell you so in writing.
7. You agree that we and our network provider can process your personal data which we collect or which you submit to us during any sales or registration process or as part of us providing Services to you, for a number of purposes, including to open and manage your account (if applicable) with us in respect of the Services, to deliver Equipment and/or any Services, or credit checking and or fraud prevention (subject to your preferences) as set out in our ‘Privacy Notice’ [insert linkLINK].
6. We may pass and share your personal information to our network provider, other communications service providers and network operators for the detection and prevention of theft and fraud, and to carry out any activities or disclosures to comply with any regulatory, government or legal requirement.
7. If you use Services from a country outside the UK, it may be necessary to transfer your information to that country. If that country is outside of the EEAEuropean Economic Area, the treatment of your personal information may be subject to laws and regulations applying in that country and which may not protect your information to the same standards applying in the United Kingdom and the European Economic Area.
8. You confirm that you have full contractual capacity to agree to the agreement.

8. Except provided in clause 18.14, a person who is not party to these Terms shall not have any rights under or in connection with them under the Contracts (Rights of Third Parties) Act 1999.
9. This Agreement is entered into by us for the benefit of us and our network provider.
10. For the purposes of the Contracts (Rights of Third Parties) Act 1999 it is intended that our network provider will have the right to enforce any rights conferred on it under this Agreement and to that extent, our network provider will have the same rights against you as would be available if they were a party to this Agreement.
11. These Terms shall be governed by English law and you and us both agree to the exclusive jurisdiction of the English courts.


Condiciones Particulares de uso del Servicio Segunda Línea — España Top

1. Las presentes condiciones particulares del servicio de segunda línea (en adelante las “CCPP” o “El Contrato”) regulan la prestación al Cliente del servicio de comunicaciones por parte de Ingenium Outsourcing Services, S.L.U (en adelante “IOS”) consistente en la asignación de un segundo número móvil a través del cual el Cliente podrá realizar y recibir llamadas y SMS desde y a otros números de la red telefónica a través de la interfaz de la aplicación UppTalk de forma gratuita. yuilop Communication Limited (en adelante “UppTalk” ) actúa como agente comercial por lo que el Cliente suscribe este Contrato con IOS. La contratación de este servicio es opcional para el Cliente y, si bien, se conciben como complemento a las Condiciones Generales de Uso del Servicio UppTalk (disponibles en http://yuilop.com/es/condiciones-generales), se trata de un servicio opcional y complementario al que presta UppTalk directamente o a través de su grupo empresarial.

2.- El Cliente deberá disponer de un número móvil preexistente al que se asociará este número móvil segunda línea a los efectos de identificación.

3.- IMPORTANTE: El número móvil asignado no puede ser utilizado como línea principal. El número móvil asignado y por lo tanto el servicio no sustituye al que te presta tu operador móvil. Algunas limitaciones con respecto al servicio que presta de tu operador móvil incluyen el NO ACCESO A LLAMADAS DE EMERGENCIA, ni a servicios de tarificación adicional ni a números especiales.

4.- El Servicio se presta al Cliente en su condición de destinatario o usuario final del mismo, quedando estrictamente prohibida su reventa o comercialización, así como la cesión del Contrato.

5.- IOS se reserva el derecho de limitar el número máximo de activaciones de líneas que soportan el Servicio a favor de un mismo Cliente.

6.- el Cliente deberá disponer de un dispositivo compatible con todas las tecnologías que soporten los servicios (ambos, tanto los de UppTalk como los de IOS), incluyendo, a modo de ejemplo no limitativo, conectividad en las bandas de telefonía móvil 2G y 3G y sistema operativo compatible.

7.- IOS prestará el Servicio conforme a los niveles de calidad establecidos en la normativa vigente y en el Contrato. No obstante, las partes aceptan que la calidad del Servicio y de la cobertura podrían verse afectadas por circunstancias excepcionales y no imputables a ninguna de ellas que impidan prestar el Servicio con la calidad ofertada.

8.- IOS prestará el Servicio exclusivamente en las zonas de cobertura donde exista conexión GPRS/3G o acceso a Internet vía WiFi suficiente.

9.- El servicio IOS depende por completo del rendimiento por parte de terceros, sobre los cuales IOS no tiene ninguna influencia técnica; En particular, pero sin limitación, la prestación de los servicios de comunicaciones por los proveedores de telecomunicaciones (operadores móviles, proveedores de Internet u otros). En consecuencia, IOS no puede evitar restricciones o interrupciones temporales del servicio IOS en el caso, a modo de ejemplo pero sin limitación, de saturación de tráfico en las redes de proveedores, así como en el caso de avería o mantenimiento de los sistemas de estos proveedores. En la medida de lo posible, IOS informará al Cliente si tiene conocimiento de cualquier falta de disponibilidad del servicio IOS y haremos nuestros mejores esfuerzos para obligar a los operadores de red a corregir los fallos.

10.- UppTalk prestará al Cliente un servicio de mantenimiento correctivo para los supuestos en que se produjesen averías o mal funcionamiento del Servicio no imputables al Cliente. Para ello UppTalk mantendrá con IOS una estrecha colaboración a los efectos de que IOS realice las actuaciones necesarias para la reparación de averías en los supuestos en que ello resultara necesario.

11.- El servicio no concede al Cliente ningún derecho a la utilización de un volumen específico de SMS y / o minutos gratis. En consecuencia, el Cliente no tiene derecho al reembolso o indemnización en el caso de terminación del servicio por cualquier causa, incluida la retirada del número de teléfono asignado.

12.- Especialmente y dado que el servicio se proporciona de forma gratuita, IOS sólo será responsable en caso de no cumplimiento culpable de una obligación contractual esencial, independientemente de los fundamentos jurídicos. En tales casos, la responsabilidad de IOS se limita a la típica contractual, daño previsible y probado. Obligación contractual esencial es aquella cuyo cumplimiento hace que sea posible la correcta ejecución del contrato y cuyo cumplimiento puedes esperar normalmente sin perjuicio de lo dispuesto en estas CCGG. Como tal, se trata de obligaciones cuya violación pondría en peligro el logro de la finalidad del contrato. La responsabilidad contractual típico por los daños previsibles es de un máximo de 5000 €, salvo que la jurisprudencia o la ley dispusieran otra cosa. Para los demás supuestos, la responsabilidad queda excluida en la medida de lo permitido por la ley aplicable. En particular, IOS no será responsable ni de la prestación defectuosa ni del rendimiento por parte de terceros de los que no tenga control, así como de las consecuencias de la imposibilidad técnica de acceso a las llamadas de emergencia.

13.- IOS podrá, suspender temporalmente el Servicio en caso de uso fraudulento del mismo (SIMBoxing y prácticas similares),.En los supuestos de fraude, si éste queda acreditado, la suspensión podrá ser definitiva, dando lugar a la resolución del presente contrato.

14.- IOS podrá igualmente suspender temporalmente o terminar el Servicio y por lo tanto retirar el número asignado si el Cliente no lo usa durante un período continuado de 4 semanas.

15.- De conformidad con el artículo 18.3 de la Constitución Española y el artículo 33 de la Ley General de Telecomunicaciones, IOS adoptará todas las medidas necesarias conforme a la legislación vigente a fin de garantizar el secreto de las comunicaciones. En cualquier caso, IOS quedará exonerada de toda responsabilidad que pudiera derivarse del quebrantamiento del derecho del Cliente al secreto de las comunicaciones cuando dicho quebrantamiento sea directamente imputable al Cliente. En todo caso IOS, en colaboración con otros operadores, adoptará las medidas necesarias para posibilitar la interceptación legal de las comunicaciones de conformidad con la legislación vigente.

16.- El Cliente tiene el derecho de usar el Servicio en los términos establecidos en el presente Contrato y la legislación vigente. El Cliente está obligado a hacer un uso razonable y correcto del Servicio, conforme a las posibilidades y fines para los que está concebido y a mantener indemnes a IOS y a UppTalk de cualquier daño o perjuicio que para éstos pudiera derivarse de un uso del Servicio por parte del Cliente que no sea conforme con el Contrato.

17.- La realización de prácticas fraudulentas tales como el SIMBOX u otras análogas quedan totalmente prohibidas.

18.- En general, las Partes están obligadas a cumplir con cualesquiera otras obligaciones derivadas del presente Contrato o impuestas por la legislación que esté vigente en cada momento.

19.- IOS podrá realizar cualesquiera modificaciones a las presentes CCPP notificándolo al Cliente, a través de UppTalk, con una antelación mínima de un (1) mes a su entrada en vigor. Si, transcurrido el plazo de un (1) mes desde la notificación de cualquier cambio por parte de IOS, el Cliente no hubiese manifestado expresamente su disconformidad, o bien el Cliente utilizara el Servicio con posterioridad a la entrada en vigor de la modificación anunciada, se entenderá que acepta las modificaciones propuestas. La comunicación al Cliente podrá realizarse, entre otros medios, con previo aviso de la modificación mediante SMS y/o correo electrónico y/o anuncio en la web yuilop.com al Cliente, con indicación de la fecha de entrada en vigor de la modificación propuesta.

20.- El Cliente deberá comunicar a IOS, mediante el Servicio de Soporte gestionado por UppTalk cualquier modificación de los datos facilitados al contratar el Servicio desde el momento en que se produzca. En el supuesto en que los datos del Cliente se hallaren desactualizados por causa imputable al mismo, cualquier notificación efectuada al domicilio del Cliente que conste como tal a efectos de notificaciones, se tendrá por válidamente efectuada.

21.- Cualquier elemento de propiedad intelectual o industrial perteneciente a cada una de las partes les pertenece en exclusiva y el presente Contrato no supone ninguna cesión de derechos de propiedad intelectual o industrial entre las Partes, a no ser que esté expresamente prevista.

22.- De acuerdo con lo regulado en la normativa de protección de datos y, en especial, en la Ley Orgánica 15/1999, de 13 de diciembre, de Protección de Datos, los datos del Cliente recogidos en virtud del presente Contrato, así como aquellos recogidos durante la relación comercial entre las Partes serán incorporados en un fichero debidamente registrado ante la Agencia Española de Protección de Datos, cuyo responsable es IOS y cuya finalidad es la de gestionar la relación comercial existente entre las partes. Dichos datos podrán ser cedidos exclusivamente a compañías a las que sea necesario cederlos para la prestación del Servicio y ejecución del Contrato, entre ellas especialmente a UppTalk y operadores de red u otras compañías que colaboren en la prestación del Servicio o a aquellas entidades que sea necesario en virtud de una obligación legal. Asimismo, los datos podrán ser tratados por UppTalk, como encargado del tratamiento, para la gestión de la relación contractual que le vincula con el Cliente. IOS y UppTalk respetan su privacidad y cumplen con todos los requisitos establecidos por la normativa y en especial con las medidas de seguridad aplicables a los ficheros de datos personales.

23.- En todo caso, IOS y el Distribuidor garantizan que los datos personales del Cliente no se utilizarán con fines distintos a los mencionados en la presente cláusula y que el tratamiento de los mismos se realizará cumpliendo con todas las obligaciones y garantías que establece la LOPD y el Real Decreto 1720/2007, de 21 de diciembre, por el que se aprueba el Reglamento de desarrollo de la LOPD (en adelante “RLOPD”) o cualquier otra norma que la sustituya.

24.- El Cliente podrá ejercitar a través de la dirección de email privacy@yuilop.com  sus derechos de acceso, rectificación, oposición y cancelación, dirigiéndose al mismo por escrito y adjuntando una fotocopia de su documento acreditativo de la identidad por ambas caras.

25.- Se informa al Cliente que la totalidad de los datos solicitados para la suscripción del presente Contrato deberán suministrarse de manera obligatoria, salvo que se especifique lo contrario, resultando imposible la prestación del Servicio si la totalidad de los datos no fueren proporcionados, o si los mismos no resultaren verdaderos, exactos y precisos, a los que el Cliente se obliga estrictamente, siendo responsabilidad suya cualquier daño o perjuicio que pudiera resultar de la inexactitud o imprecisión de los mismos.

26.- De acuerdo con lo establecido en la normativa de conservación de datos, especialmente en la Ley 25/2007, de 18 de octubre, de Conservación de Datos relativos a las comunicaciones electrónicas y a las redes públicas de comunicaciones, IOS está obligada a conservar los datos de tráfico y facturación generados o tratados en el marco de la prestación del Servicio. Estos datos quedarán a disposición de los agentes facultados del modo previsto en la normativa aplicable.

IOS, en cumplimiento de la Ley 25/2007, informa al Cliente de que su nombre, apellidos, NIF,

Pasaporte o NIE y nacionalidad pasarán a formar parte de un Libro Registro para Clientes de IOS. Estos datos serán cedidos a las Fuerzas y Cuerpos de Seguridad del Estado cuando le sean requeridos por estas a IOS.

27.- El Contrato, que se suscribe por plazo indefinido, podrá ser resuelto por el Cliente en cualquier momento a través del botón habilitado al efecto dentro de la aplicación UppTalk y por cualquiera de las Partes por las causas generales de extinción de los Contratos.

28.- IOS podrá resolver unilateralmente el Contrato:

- en los supuestos de falta de uso del Servicio por un período de 4 semanas seguidos. En este caso se notificará al cliente a través de SMS al número móvil asignado o el aportado durante el proceso de registro por motivos de identificación

- o si se produjera la extinción de los títulos habilitantes de IOS y ello determinase la imposibilidad de continuar la prestación del Servicio

-o en los supuestos de uso ilícito del Servicio por parte del Cliente, o de incumplimiento de cualquiera de sus obligaciones contractuales establecidas en las presentes CCPP,

29.- En cualquier caso, el Contrato se entenderá resuelto siempre que a causa de una modificación legal y/o técnica (tal como la pérdida del título habilitante de IOS) devenga imposible total o parcialmente la prestación del Servicio tal y como fue contratado. Si la imposibilidad fuera parcial, el contrato quedará resuelto sólo respecto a la parte afectada, a menos que el Servicio se viera por ello sustancialmente modificado.

30.- IOS se reserva el derecho de asignar de nuevo el número móvil retirado después de la terminación del contrato por cualquier causa.

En el caso de retirada del número móvil asignado por cualquier causa el Cliente podrá seguir haciendo uso del servicio UppTalk limitado a los servicios para los que no se requiera numeración móvil asignada por parte de IOS (servicios web/IP). No obstante el Cliente puede optar por otro número móvil asignado realizando de nuevo el proceso de alta en UppTalk y IOS.

31.- La invalidez o imposibilidad de aplicación o ejecución de cualquier disposición del presente Contrato no afectará al resto a menos que ello implicara una alteración sustancial y grave del mismo.

32.-El Contrato deberá interpretarse e integrarse conforme al propio sentido de sus cláusulas en conjunto, si ello no fuere posible, conforme a la voluntad manifiesta de las Partes y, en último término, conforme a la normativa vigente.

33.- El presente Contrato se regirá e interpretará conforme a la Ley española.

34.-.En caso de surgir cualquier disputa entre las Partes en relación con el contrato, y siempre que la normativa vigente no establezca el foro del Cliente con carácter imperativo, las mismas renuncian expresamente a cualquier foro que pudiera corresponderles, acordando someter tales disputas a la jurisdicción de los Jueces y Tribunales de Madrid Capital.
